Not every company waits for perfect conditions to make its move — sometimes the boldest bets come precisely when the ground feels shakiest. That's the gamble now playing out with CVC-backed Bamboo Insurance Services, which revealed in a Monday filing that it's targeting a valuation of up to $3.24 billion on a fully diluted basis for its upcoming U.S. initial public offering.

Breaking Down the Offering

The Midvale, Utah-based company's selling shareholders are aiming to raise as much as $700 million, offering 35 million shares priced between $18 and $20 each. It's a number that reads ambitious against the backdrop of a market that hasn't exactly been rolling out the welcome mat this season.

A Slower Start Than Last Year

Despite a healthy backlog of companies waiting in the wings to go public, this fall's IPO season has kicked off more sluggishly than the same stretch a year ago, as volatility tied to rising oil prices and inflation weighs down deal activity like an anchor dragging against the current.

Insurance Stays Afloat Regardless

Yet within the insurance sector specifically, the pipeline has remained notably resilient, with many recent insurance IPOs performing relatively well once they hit the aftermarket — almost as if the sector operates on its own separate current, less susceptible to the broader market's choppy waters.

"I think part of that reflects the operating environment for the insurance industry. Recurring revenue and relatively resilient demand are attractive characteristics in the current volatile market," said IPOX Vice President Kat Liu, framing insurance as something of a safe harbor for investors currently spooked by broader economic turbulence.

Bamboo Isn't Alone in the Race

The company joins other insurance players testing the public markets right now. Melbourne, Florida-based Orion180 Insurance launched its own roadshow last week, seeking to raise up to $340 million — a parallel bet suggesting insurance IPOs are having something of a moment despite the choppier conditions surrounding them.

The Company Behind the Offering

Founded in 2018 and led by industry veteran John Chu, Bamboo has built its business around the residential property market, offering homeowners' insurance and related products to a customer base increasingly navigating volatile housing and climate conditions.

Understanding Bamboo's Business Model

Bamboo operates as a managing general underwriter, or MGU — meaning it underwrites and distributes policies on behalf of insurance carriers, while those carriers ultimately shoulder the claims risk themselves. It's a structure that offers Bamboo certain advantages, but not without trade-offs.

"The trade-off is that this creates a different type of risk. The business becomes more dependent on its relationships with insurance carriers and other capacity providers," Liu explained — essentially describing a business model built less on bearing risk directly and more on maintaining the right partnerships to keep the whole system functioning smoothly.

From Private Equity Hands to Public Markets

Bamboo's ownership history adds another layer to the story. White Mountains Insurance, previously a major shareholder in the firm, sold a majority stake to European private equity firm CVC last year in a deal that valued the company at $1.75 billion — meaning this IPO, if it hits its targeted valuation, would nearly double that figure in under a year.

Where the Stock Will Trade

Bamboo intends to list on the New York Stock Exchange under the ticker symbol "BMB." A syndicate of major underwriters is steering the offering, including J.P. Morgan, Morgan Stanley, Deutsche Bank Securities, Evercore ISI and Wells Fargo Securities, among others.

In a market where volatility has made many companies hesitate at the IPO starting line, Bamboo's willingness to push forward — and push for a valuation nearly double its private equity price tag — suggests real confidence that insurance remains one sector investors are still eager to bet on.
