In a pivotal shift in the battle over real estate commissions, Bkeller Williams batton commission lawsuit settlement headlines a first-of-its-kind deal in the homebuyer antitrust fight known as Batton.

Keller Williams has become the first brokerage to strike a settlement in the buyer-led commissions lawsuit, filing a proposed $20 million agreement on Feb. 2 in the U.S. District Court for the Northern District of Illinois. The accord, described by plaintiffs’ attorneys as an “ice-breaker settlement,” signals a potential thaw in a case that could carry billions in exposure.

$20 Million Deal and Cooperation Pledge

Beyond the monetary payment, Keller Williams, often known as KW, agreed to provide what plaintiffs called “highly valuable cooperation,” including deposition testimony, trial testimony and the production of documents. In high-stakes litigation, such cooperation can function like a master key — unlocking strategies and internal practices for use against remaining defendants.

In an email to agents and company leaders, KW President and CEO Chris Czarnecki said the decision followed “careful consideration for the immediate and long-term well-being of our franchisees and agents and the business model they depend on.”

The settlement, Czarnecki wrote, “allows us all to turn our attention back to what we do best: delivering unparalleled value in an ever-evolving real estate market.”

A Different Front in the Commission Wars

Buyers, Not Sellers, Lead the Charge

Unlike the landmark Sitzer/Burnett and Gibson cases — which were brought by homesellers — the Batton litigation was filed in 2021 by homebuyers. The plaintiffs allege a conspiracy that kept buyer-broker commissions artificially high, inflating the overall price of homes.

Originally, the lawsuit named the National Association of Realtors, Anywhere Real Estate, REMAX and Keller Williams as co-defendants. Two years later, additional major brokerages were swept into a related action known as Batton 2.

At the center of the dispute is NAR’s now-defunct Participation Rule. The policy required listing brokers to make blanket offers of compensation to buyer brokers in order to place a property on a multiple listing service, or MLS — a rule critics argue cemented commission structures across the industry.

Billions at Stake, Class Status Pending

The Batton case has gained momentum in recent months. In September, plaintiffs sought class certification to represent what they estimate could be millions of buyers who allegedly paid more for homes due to the commission framework. If successful at trial, total damages were projected to reach into the billions.

Yet the litigation has encountered turbulence. The U.S. Court of Appeals for the Eighth Circuit is weighing whether buyers who also sold homes — and were included in the Sitzer/Burnett and Gibson settlements — can remain part of the buyer class in Batton. A ruling is expected this spring, a decision that could reshape the scope of the case.

NAR: Settlement Doesn’t Change Its Defense

Keller Williams’ proposed deal “does not directly affect NAR’s position in the Batton litigation,” a spokesperson for the trade group said in a statement to Real Estate News.

“We respect Keller Williams’ right to settle these claims and anticipated the possibility they would do so,” the spokesperson said. “NAR remains actively engaged in the Batton joint defense group, and we continue to defend our rules where questioned. Given recent history and the dynamics of this case, NAR continues to pursue all potential resolutions, both non-litigation and litigation, to reach a result that is in the best interest of our members, the industry and consumers.”

A Pattern of Commission Settlements

This is not Keller Williams’ first commission-related settlement. Two years ago, the brokerage resolved claims in the Sitzer/Burnett case with a $70 million agreement announced four months after the October 2023 verdict. That settlement also included changes to how the company handles commissions.

The latest agreement arrives as other brokerages begin to chart similar paths. In January, Real Brokerage settled the Cwynar case, contributing an undisclosed sum to a “global settlement fund” alongside nearly a dozen other defendants.

As the Batton case advances, Keller Williams’ decision may prove to be more than an isolated resolution. It could serve as a domino — the first to fall in a legal battle that continues to test the foundations of how homes are bought and sold in America.
