In a bold stroke that could redefine the global luxury landscape, L’Oréal SA announced plans to buy the beauty division of Kering SA — the parent company behind fashion giants Gucci, Balenciaga, and Bottega Veneta — in a €4 billion ($4.7 billion) all-cash deal. The move marks one of the largest beauty acquisitions in recent years and is designed to fortify L’Oréal’s dominance in the high-end cosmetics and fragrance arena.

The agreement, revealed late Sunday, includes not only the acquisition of Kering’s beauty arm — home to the iconic House of Creed — but also a long-term licensing partnership granting L’Oréal rights to develop and sell fragrances and cosmetics for Kering’s fashion labels.

A Strategic Match Between Beauty and Fashion Titans

“This addition of extraordinary brands perfectly complements our existing portfolio and propels us deeper into the luxury beauty universe,” said Nicolas Hieronimus, L’Oréal’s CEO.

The acquisition is valued at €4 billion, all payable in cash, while L’Oréal will also provide ongoing royalty payments to Kering for the licensed use of its designer brands. French law firm BDGS Associés is serving as legal counsel to L’Oréal, while representation for Kering remains undisclosed.

Kering’s Debt Drive and Leadership Revamp

The sale comes as Kering SA, long revered for its luxury empire, seeks to reduce its €9.5 billion debt and refocus on its fashion roots. Under the leadership of Luca de Meo, appointed as CEO in September, the company is undergoing a strategic overhaul aimed at boosting profitability and brand strength.

“We will accelerate the development of fragrance and cosmetics for our major houses, allowing them to achieve scale in this category and unlock their immense long-term potential,” De Meo said on Monday.

Financial analysts see the sale as a lifeline. Russ Mould, investment director at AJ Bell, noted that the deal “allows Kering to make a meaningful dent in its onerous borrowing pile.”

Market Reaction and Regulatory Hurdles Ahead

Investor sentiment turned upbeat following the announcement — Kering’s shares rose 3.5% on the Euronext Paris Monday morning, trading higher from Friday’s €309.55 close.

Still, the transaction remains subject to regulatory approval and French employment law compliance, both companies confirmed. While they did not specify which authorities would review the merger, they expect the deal to close by June 2026.

For L’Oréal, the acquisition represents more than expansion — it’s a statement of intent. By absorbing Kering Beauté, the French cosmetics titan not only gains access to some of the most coveted names in luxury fashion but also strengthens its grip on the prestige fragrance sector, a market increasingly intertwined with identity and lifestyle.
