BNP Paribas SA announced Monday that it has agreed to acquire HSBC's private banking unit in Germany as part of its strategy to expand its wealth management operations in a key European market. The French financial giant views Germany as offering "strong growth potential," particularly within the small and midsized business (SME) sector, known as the Mittelstand.

The transaction, expected to close in the second half of 2025 pending regulatory approval, will significantly bolster BNP Paribas' wealth management presence in Germany. While the financial terms of the deal and the nature of the required regulatory approvals were not disclosed, BNP Paribas anticipates that the acquisition will enhance its position among Germany's top wealth management players.

Vincent Lecomte, CEO of BNP Paribas Wealth Management, said in a statement that the deal will raise the bank's assets under management in Germany to over €40 billion ($44.4 billion). He emphasized that BNP Paribas’ integrated business model is tailored to the long-term needs of entrepreneurial clients, offering a mix of personal and corporate financial services.

"This acquisition consolidates our position as the leading wealth management player in the eurozone," Lecomte said, underscoring the strategic importance of the move in Germany's robust financial landscape.

Focus on German Mittelstand and High-Net-Worth Clients

BNP Paribas has long targeted the Mittelstand, which represents Germany's thriving SME sector. The acquisition of HSBC's German private banking unit, which primarily serves high-net-worth and ultra-high-net-worth individuals in regions such as North Rhine-Westphalia, aligns with the French bank’s vision of expanding its wealth management services. The French lender plans to leverage its diversified financial offerings, including investment, corporate banking, and asset management, to cater to both business and personal needs of its clientele.

Lutz Diederichs, CEO of BNP Paribas in Germany, described wealth management as a vital component of the bank's broader growth strategy in the German market. He noted that wealth management acts as an entry point for clients to access BNP Paribas' full suite of services, which also includes real estate, asset management, and institutional banking.

BNP To Buy HSBC Unit : Regulatory and Market Context

The acquisition is part of BNP Paribas' broader expansion in Europe as it eyes opportunities in strategic markets. In June 2023, BNP Paribas Wealth Management oversaw €446 billion in global assets, and the purchase of HSBC's unit is expected to further solidify its standing within Germany.
