Airo Group Holdings Inc., a rising force in aerospace and defense innovation, officially took flight on the Nasdaq Friday, launching its long-awaited $60 million initial public offering — but not without turbulence.

The Albuquerque, New Mexico-based developer of drone systems and pilot training platforms priced its IPO at $10 per share, undercutting its earlier guidance of $14 to $16. Still, in a bold move, Airo increased its offering from 5 million to 6 million shares, braving a still-recovering public market climate. It now trades under the ticker AIRO.

Skimming Below the Radar—But Climbing

Despite missing the target price range, the upsized deal signals confidence in its long-term vision. The IPO comes on the heels of months of geopolitical unrest and heightened NATO military investments — all of which Airo views not as setbacks, but tailwinds.

“Global conflicts, particularly the Russia-Ukraine war, have reignited demand for unmanned and smart aerial systems,” Airo stated in filings with the U.S. Securities and Exchange Commission. “We expect our products to remain vital assets in NATO’s future defense landscape.”

Defense in the Age of Drones

The company pulled in $86.9 million in 2024 revenue, yet remains unprofitable as it continues investing in next-gen aviation. Airo’s portfolio includes electric aircraft, drone communications tech, and military/commercial pilot training — making it a diversified play in both combat and civilian sectors.

Its IPO proceeds will be used to expand operations and pay down debt, according to regulatory filings.

Legal Firepower and Market Strategy

Airo’s IPO marks its second attempt to go public. A prior effort via a SPAC merger fizzled in 2023, prompting the company to pivot and file confidential IPO plans in December.

This time, it flew into action backed by legal heavyweights:

• Cooley LLP, with partners Christina Roupas, Yvan-Claude Pierre, Courtney Tygesson, and associate Grady Chang, steered Airo through the IPO maze.

• On the other side, Latham & Watkins LLP, led by Christopher Lueking and Jonathan Sarna, advised the underwriters.

Cantor Fitzgerald & Co., BTIG LLC, and Mizuho Securities USA LLC led the underwriting effort, and hold a 30-day option to purchase an additional 900,000 shares, potentially lifting proceeds to $69 million.

Market Rebound Breathing New Life Into IPOs

Airo’s listing underscores a broader resurgence in public offerings, thanks to easing global volatility and thawing investor sentiment. Although the company didn’t comment directly, its timing suggests a calculated bet that aerospace demand — both commercial and defense — will only intensify.

Airo estimates the global drone market will swell to $24.75 billion by 2030, driven by a combination of defense modernization, safer unmanned solutions, and asymmetric warfare.
