Markel Insurance and Enstar have struck a major reinsurance deal covering $4.8 billion in reserves, marking a significant step in Markel's effort to reduce exposure to legacy liabilities and sharpen its focus on specialty insurance.

The companies have entered into an adverse development cover (ADC) agreement covering reserves tied to Markel's run-off global reinsurance business and selected discontinued insurance operations. The protection addresses potential future adverse reserve development for underwriting years 2025 and earlier.

Markel Insurance, the insurance arm of Markel Group Inc., said the transaction supports its broader strategy of concentrating on its core specialty insurance operations.

The companies expect to complete the deal by the end of the fourth quarter of 2026, provided they secure regulatory approval and satisfy customary closing requirements.

How the $4.8 Billion Reinsurance Deal Is Structured

Under the agreement, Markel will retain the first $2.6 billion of the covered reserves and transfer the next $2.3 billion to Enstar through reinsurance. Enstar will also provide an additional $1.2 billion in adverse loss development protection above the $4.8 billion reserve threshold.

In exchange, Markel will pay Enstar a $120 million risk premium.

The arrangement is designed to reduce the level of prudence management needs when estimating the ultimate cost of claims. Consequently, Markel expects the transaction to have an immaterial net effect on its fourth-quarter underwriting results.

The coverage applies to business written by Markel's Global Reinsurance division during underwriting years 2025 and earlier. It also extends to discontinued risk-managed professional liability coverage, architects and engineers insurance, and other run-off business lines.

Despite transferring part of the financial exposure, Markel will continue to retain control over claims involving the covered portfolio.

Enstar Subsidiary to Underwrite the Coverage

Enstar will deliver the reinsurance protection through its wholly owned subsidiary, Cavello Bay Reinsurance Limited, which carries an A financial strength rating from S&P.

The agreement is intended to give Markel greater certainty surrounding its legacy liabilities as the insurer redirects attention toward its specialty insurance business.

Simon Wilson, CEO of Markel Insurance, said the arrangement would provide greater predictability as the covered liabilities run off, allowing the company to concentrate on its main specialty insurance operations.

Wilson also highlighted customer commitments, stronger market expertise and faster decision-making as key priorities for the business.

He said the partnership with Enstar supports those objectives while improving Markel's financial flexibility and reinforcing its ability to create long-term value for customers and shareholders.
