Protective acquires Obsidian

Protective Life Corporation has completed its acquisition of Obsidian Insurance Holdings Inc. and its affiliates, marking a significant expansion into the specialty property and casualty insurance market and adding another business engine to its growing portfolio.

Protective, a U.S. subsidiary of Daiichi Life Group Inc. (TSE: 8750), confirmed that its principal subsidiary, Protective Life Insurance Company, finalized the purchase from funds advised by private equity firm Genstar Capital.

The deal establishes Protective's fifth business line, focused on specialty property and casualty (P&C) insurance. It also gives the company a foothold in the excess and surplus (E&S) market, broadening its reach beyond its existing operations.

The addition brings different earnings drivers and market cycles into Protective's business mix, potentially creating new opportunities for organic growth while diversifying its overall portfolio.

“Obsidian brings Protective into an important segment of the insurance market through a business that complements our existing portfolio,” said Paul Wells, president of Protective. “We respect what the Obsidian team has built and the relationships behind its success. Our priority is to give the team the support and capabilities it needs to keep serving customers and partners well.”

Obsidian Adds a Specialty Insurance Platform

Founded in 2020, Obsidian operates as a hybrid fronting carrier, supporting specialty P&C insurance programs underwritten by managing general agents (MGAs), managing general underwriters (MGUs) and program managers.

Many of these programs address risks that demand specialized underwriting expertise and customized insurance solutions. Obsidian supplies the carrier infrastructure, oversight and access to reinsurance capacity that these businesses need to operate and expand.

The company sources, underwrites and manages a diversified portfolio of property, casualty and specialty insurance programs. Its admitted and non-admitted insurance carrier subsidiaries issue policies for MGAs, MGUs and program managers, while the company reinsures most of its business with selected reinsurers.

Lance Black, Protective's executive vice president of acquisitions and corporate development, will oversee Obsidian as part of the company. Black said working alongside Obsidian's leadership during the acquisition process gave him a direct view of the team's expertise and disciplined approach.

“Having worked closely with the Obsidian team throughout this process, I have seen firsthand the expertise and discipline they bring to the market,” Black said. “I’m excited to continue working with Bill, Craig and the broader team and build on the strong foundation they have established.”

Leadership Emphasizes Continuity and Future Investment

Obsidian CEO William Jewett said Protective recognizes the relationships and underwriting discipline that helped establish the business. He added that the new ownership's financial strength and broader resources would give the company room to invest while maintaining its focus on customers, partners and insurance programs.

“Protective understands our business and values the relationships and underwriting discipline behind what our team has built,” Jewett said. “Its financial strength and broader capabilities will help us invest in the business while remaining focused on the customers, partners and programs we serve.”

For existing customers and business partners, the transition is expected to preserve familiar points of contact. Obsidian President and Chief Operating Officer Craig Rappaport said the company's existing leadership and teams would remain central to its relationships.

“Our customers and partners will continue working with the Obsidian leaders and teams they know,” Rappaport said. “We remain focused on supporting our programs, delivering reliable service and maintaining continuity through the transition.”

Genstar Capital, which partnered with Obsidian during its development, also welcomed the transaction. Ryan Clark, the firm's president and managing partner, said the company had grown into a leading specialty insurance platform since its formation six years ago.

“We are proud of what the Obsidian team has built since the company’s formation six years ago,” Clark said. “It has been a privilege to partner in creating and growing Obsidian into a premier specialty insurance platform, and we are confident Protective is the right owner for Obsidian’s next phase.”

A Milestone in Protective's Acquisition Strategy

The Obsidian transaction marks Protective's 62nd acquisition overall and its ninth since joining Daiichi Life Group in 2015.

Daiichi Life is a global financial services organization with more than $462 billion in total assets as of Dec. 31, 2025. The group serves customers across 10 countries, with Protective acting as its U.S. insurance growth platform. The American subsidiary focuses on sustainable expansion through a diversified collection of businesses.

Several advisers supported the transaction. Citi served as Protective's exclusive financial adviser, while Oliver Wyman provided actuarial advice. Willkie Farr & Gallagher LLP acted as external legal counsel for Protective.

Obsidian was represented by Ropes & Gray LLP and Mayer Brown LLP as external legal counsel.

Protective and Its New Business Portfolio

Protective has spent more than 115 years providing financial protection solutions. Through its subsidiaries, the company offers life insurance, retirement products, employee benefits and asset protection services to nearly 32 million people.

Its strategy centers on long-term growth, financial stability and helping customers move forward with confidence. Protective Life Corporation, a subsidiary of Daiichi Life Group, reported $148 billion in assets as of June 30, 2026.

Headquartered in Birmingham, Alabama, Protective employs more than 3,500 people nationwide, including at major operating locations in the greater Cincinnati region and St. Louis.

About Genstar Capital and Obsidian

San Francisco-based Genstar Capital is a private equity firm that has invested in companies for more than 35 years. It works with management teams and a network of strategic advisers to develop businesses into industry-leading companies.

Genstar manages approximately $51 billion in assets and focuses its investments on selected segments of the industrial, software, financial services and health care industries.

Obsidian Insurance Holdings is an insurance holding company formed in 2020 in partnership with leading insurance industry executives and Genstar Capital. Its admitted and non-admitted carrier subsidiaries issue policies underwritten by MGAs, MGUs and program managers. The company manages a range of property, casualty and specialty insurance programs and reinsures the majority of its business with selected reinsurers.

With the acquisition complete, Protective gains a new platform in a specialized corner of the insurance industry. The move adds another layer to its diversification strategy while placing Obsidian's established underwriting relationships and operating capabilities within a larger financial organization.
