Sam Altman is poised to make a comeback as the CEO of OpenAI. The company announced that it had reached an agreement in principle for his reinstatement. The reinstatement follows Altman's abrupt dismissal on Friday, which created a controversy that led nearly the entire 750-strong workforce to threaten resignation amidst demands that Altman be reinstated. 

This unexpected leadership crisis has shed light on OpenAI's unique corporate structure and raised questions about Microsoft's influence on the situation, given its significant stake in the company.

Altman returns as CEO of OpenAI

Microsoft CEO Satya Nadella expressed relief at Altman's return, considering it a "first essential step" toward stabilizing OpenAI.

The details of Microsoft's potential increased oversight remain unclear. The evolving situation prompts speculation about whether Microsoft will gain more insight into OpenAI's governance or exercise greater control over a company in which it has invested billions.

The newly formulated board, led by former Salesforce co-CEO Bret Taylor and including former Treasury Secretary Larry Summers as a new addition, aims to bring stability to OpenAI.

 However, the departure of independent directors Tasha McCauley and Helen Toner, along with Chief Scientist Ilya Sutskever, adds to the complexity of the transition. Sutskever, expressing regret for his role in Altman's removal, is among those stepping down.

Greg Brockman, OpenAI's president and former board chair, is returning to his executive role, signaling a shift in the company's leadership dynamics. Microsoft’s previously announced plan to create an advanced AI research team, co-led by Brockman and Altman, has been scrapped.

Microsoft's reliance on a combination of its engineering and OpenAI's technology for key AI products underscores the importance of a stable partnership. 

Corporate Restructuring

The Azure OpenAI service, representing the revenue potential of AI for Microsoft, adds financial stakes to the collaboration. As the companies seek to convey a sense of normalcy to developers and enterprise customers, alternative players such as Amazon, Google, and Anthropic may find opportunities in the recent shake-ups.

The question of Microsoft's role on the board remains a major wild card. OpenAI's intricate corporate structure, with a non-profit board overseeing a capped-profit company led by Altman and invested in by Microsoft, makes negotiations more complex. 

While Nadella has emphasized preventing blindsides, the specifics of Microsoft's position on the board are yet to be clarified. As OpenAI navigates this period of transition and uncertainty, stakeholders, customers, and industry observers will closely watch how the reshaped leadership impacts the company's trajectory.

To address the corporate restructuring, the initial OpenAI board will vet and assemble a larger board of up to nine people. 

Nadella’s strategy pays off 

Microsoft reportedly aims to secure one of these nine seats, a move that suggests the company's intention to play a more active role in shaping OpenAI's future.

So last week, OpenAI’s board fired its CEO Sam Altman. And this week with the help of Microsoft its multi-billion dollar investor, Altman effectively fired OpenAI’s board and reclaimed his spot at the top.

In a series of brilliant strategic moves, CEO Satya Nadella found a way out of what could have been a catastrophe for Microsoft.

Either way, it's a win for the multi-billion-dollar investor.

 According to Nadella in a Bloomberg TV interview: "Irrespective of where Sam is, he's working with Microsoft." And all the top executives, as well as 95% of the employees are part of the package.
