Wolters Kluwer Legal & Regulatory announced Thursday it has signed an agreement to acquire Libra Technology GmbH, a Berlin-based legal AI company, for up to €90 million. The deal includes €30 million upfront, with the remainder contingent on achieving performance milestones.

The acquisition will merge Libra’s AI assistant technology with Wolters Kluwer’s established legal content, promising an all-in-one platform for law firms and corporate legal departments to streamline research, drafting, review, and analytics.

Libra AI: Transforming Legal Workflows

Founded in 2023 by Viktor von Essen and Dr. Bo Tranberg, Libra Technology developed its Libra AI assistant to deliver secure, efficient, and highly accurate legal services. The platform already serves a growing customer base in Germany and across Europe.

Financials and Growth Prospects

Libra currently has around 15 employees, all of whom will join Wolters Kluwer. The subscription-based AI assistant, launched in late 2024, is projected to generate €5 million in annual recurring revenue (ARR) by year-end.

Wolters Kluwer expects the acquisition to achieve a return on invested capital (ROIC) above its 8% after-tax weighted cost of capital within 3–5 years. In the near term, the acquisition is anticipated to have minimal impact on adjusted earnings. Closing is expected in November 2025, pending customary conditions.

Strategic Significance

This acquisition complements Wolters Kluwer’s Expert AI solutions already available in legal research platforms in Europe and the U.S., further enhancing efficiency and security for legal practitioners.

By integrating Libra’s AI with Wolters Kluwer’s content, the company aims to set a new benchmark for AI in legal practice, delivering high-quality outcomes and robust domain depth.
