The Swiss insurance giant and Beazley confirmed that the scheme of arrangement under the Companies Act 2006 came into force after a copy of a court order was formally delivered to the Registrar of Companies — the final procedural step transforming a long-negotiated agreement into an actual, completed transaction.

A Court's Green Light

The U.K. insurer confirmed on Sept. 22 that a London court had approved the transaction, a deal Beazley originally agreed to back in March — meaning this acquisition has spent roughly six months winding its way through the full approval process before finally reaching completion.

Back in March, both insurers described the deal's ultimate ambition: creating a leading global specialty platform carrying approximately $15 billion in gross written premiums. The combined business will be headquartered in the U.K., specifically positioned to leverage Beazley's established presence within the Lloyd's market — a strategic anchor point the companies clearly view as central to the newly enlarged entity's identity.

The Legal Teams That Guided the Deal to Completion
