High-Stakes Legal Battle Unfolds in Delaware

Global freight powerhouse Omni Logistics Inc. has launched a legal offensive, suing Forward Air Corp. in Delaware's Court of Chancery. The lawsuit, filed late Tuesday, seeks to compel Forward Air Corp. to follow through on a $3.2 billion agreement to acquire Omni. Omni alleges that Forward Air Corp. breached the deal due to adverse investor and market reactions.

A Rocky Road to the Courthouse

This legal showdown follows a recent series of twists and turns in the deal's journey. In October, a Tennessee judge lifted a temporary restraining order that had initially blocked the deal, citing objections from a stockholder lawsuit. The stockholder suit had raised concerns about the deal's approval without a stockholder vote.

Omni's Claims and Accusations

Omni, based in Texas and privately owned, asserts that Forward Air Corp. initially committed to the merger and the completion of the cash and stock agreement, which was sealed on August 10. Importantly, Forward Air Corp. had agreed to proceed without the need for a stockholder vote. However, the company allegedly had a change of heart after experiencing a significant drop in its stock price and facing criticism from hedge fund investors.

According to Omni's complaint, Forward Air Corp.'s CEO, Tom Schmitt, initially explored renegotiation in response to the initial backlash following the deal's announcement. Subsequently, Schmitt accused Omni of failing to provide requested data and argued that post-signing disclosures indicated that Omni's performance would fall short of the previously disclosed levels.

Omni firmly believes that Forward Air Corp.'s threat to terminate the transaction is not enforceable under their binding contractual agreement. The company is confident that there are no legal impediments to closing the deal.

Omni's CEO, J.J. Schickel, expressed this confidence in an open letter to shareholders, emphasizing that Forward Air Corp.'s actions appear to be an attempt to terminate the merger agreement without a valid legal or factual basis, seemingly to safeguard the positions of Schmitt and the company's board.

Allegations Galore

Omni's complaint against Forward Air Corp. paints a picture of shifting positions and questionable intentions. The company alleges that Schmitt vacillated on the deal's closure, even acknowledging concerns that he and the board could face dismissal if the deal proceeded.

Furthermore, Omni accuses Forward Air Corp. of requesting a post-signing hypothetical financial forecast as controversy continued to swirl. This request was based on Forward Air Corp.'s stipulations, which aimed to model a scenario of an earnings quarter with no growth. Omni contends that this scenario was unrealistic and had not been discussed before signing. In response, Omni provided a significantly higher estimate for the same period. However, Forward Air Corp. purportedly used the uncorrected outlook to claim a post-deal revision of financials and a breach of the agreement.

Omni's legal action in Delaware asserts that Forward Air Corp. had initially indicated its preparedness to close the deal while stockholder litigation was pending in a Tennessee court. However, Schmitt reversed this position following the dismissal of the lawsuit on October 25. He declared that the deal was off, citing alleged breaches by Omni.

In an October 26 Securities and Exchange Commission filing, Forward Air Corp. contended that Omni had not met certain obligations under the merger agreement. With unmet closing conditions, Forward Air Corp. believed it was not obligated to proceed with the deal.

Omni has urgently sought expedited handling of the case in Chancery Court, asserting that Forward Air Corp.'s claims of breach are pretextual attempts to evade its obligations under the merger agreement. This urgency is driven, in part, by the merger agreement's provision allowing Forward Air Corp. to terminate the deal if it does not close by February 10, 2024.
