Australia's insurance brokerage landscape just shifted beneath its own feet. Steadfast Group has agreed to be swallowed up by a consortium backed by investment powerhouses Dragoneer Investment Group and KKR, in a deal valuing the company at roughly AU$7.7 billion, or about $5.5 billion, the company announced Friday.

The Deal Structure

Starboard BidCo, an entity indirectly controlled by funds affiliated with Dragoneer and KKR, will purchase every outstanding share of Steadfast for AU$6 apiece in cash — a figure adjusted downward by the amount of any permitted dividends paid out before the deal officially closes, according to Steadfast's announcement.

A Premium That Sweetened the Pot

The offer price translates to a 51.9% premium over Steadfast's closing share price of AU$3.95 on June 9 — the final trading day before the company first disclosed it had received a nonbinding proposal from Dragoneer and Amwins, giving shareholders a substantial bump above where the stock had been sitting just weeks earlier.

Splitting the Business in Two

The buyers aren't planning to keep every piece of Steadfast intact. Under the arrangement, they'll sell off Steadfast's underwriting agency business to Amwins Australasia Group, a subsidiary of U.S.-based wholesale insurance distributor Amwins, while holding onto Steadfast's core broking business for themselves — essentially carving the company along its natural seams and distributing the pieces to the buyers best positioned to run them.

How the Deal Gets Paid For

Financing for the acquisition will come from a mix of sources: equity commitments from Dragoneer and KKR, binding financial commitments from Amwins, and additional third-party debt financing layered on top, according to Steadfast.

The Board's Endorsement

Steadfast's board has unanimously recommended that shareholders vote in favor of the transaction, though that recommendation carries conditions — namely, the absence of any "superior proposal" emerging before the vote, and continued confirmation from Kroll Australia, the company's appointed independent expert, that the deal remains in shareholders' best interests.

Leadership's Take on the Sale

CEO Robert Kelly framed the deal as validation of the company's trajectory rather than a retreat from public markets. The transaction "recognises the significant value created by Steadfast for its public investors and provides an exciting opportunity for the next phase of our growth," Kelly said in a statement.

Steadfast's Footprint

Steadfast currently operates insurance broker and agency networks spanning Australia, New Zealand, Singapore and the United States, with those networks collectively placing about AU$25 billion in gross written premiums each year — a scale that made the company an attractive target for private capital looking to plant a flag in the insurance distribution space.

What Private Ownership Could Bring

Kelly added that backing from Dragoneer and KKR should help support Steadfast's independent broker network while fueling further growth, including fresh investment in technology and expanded services — the kind of resources that can be harder to marshal quickly as a publicly traded company answering to quarterly earnings expectations.

What Still Needs to Happen

The deal isn't finalized yet. It still requires sign-off from Steadfast shareholders and the Australian Federal Court, along with additional regulatory clearances from authorities across Australia, New Zealand, the U.K. and Singapore — a multi-jurisdictional approval gauntlet that reflects just how far Steadfast's operations already extend.

The Road to Completion

The parties are targeting a December completion date, with a shareholder vote expected sometime in November — leaving a few months of regulatory and procedural runway before the deal can officially close.
