Apollo, KKR Partner With Atlantic Aviation in Nearly $10 Billion Infrastructure Bet

Apollo, KKR Partner With Atlantic Aviation

Two of private equity's heaviest hitters just decided to share the runway. KKR and Apollo unveiled a strategic partnership Thursday backing Atlantic Aviation, a private aviation infrastructure platform, in a deal that values the company at nearly $10 billion — the kind of price tag that turns a routine industry announcement into a genuine headline-grabber.

How the Deal Is Structured

Under the arrangement, KKR-managed funds will stay on as a substantial shareholder in Atlantic Aviation, while Apollo-managed funds step in and acquire what the companies described as a "significant" interest of their own, according to a Thursday statement. Rather than one firm exiting as the other enters, this looks more like two major investors settling in side by side.

Leadership's Reaction

Atlantic Aviation CEO Jeff Foland framed the deal as a resounding validation of the company's trajectory rather than a simple change in ownership structure. "This transaction is more than a milestone for Atlantic — it is a powerful validation of what our people have built together," Foland said. "To have two of the world's most respected investment firms choose to invest in our company is an extraordinary endorsement of our people, our performance, and our potential. We are incredibly proud of what we have accomplished, and even more excited about what comes next."

What Atlantic Aviation Actually Does

Atlantic Aviation operates as a fixed-base operator, providing essential services to both corporate and general aviation customers across the country, according to the statement. Its offerings include mission-critical infrastructure like aircraft fueling, hangar leasing and other core aviation support services — the unglamorous but indispensable backbone that keeps private jets fueled, sheltered and ready to fly.

A Track Record of Growth Under KKR

KKR first took ownership of Atlantic Aviation back in 2021, and the company says it has since expanded meaningfully through a combination of strategic acquisitions and organic growth, extending its footprint across the U.S. and into select international locations.

Why KKR Is Staying In

KKR partner Dash Lane described Atlantic Aviation as precisely the type of investment the firm looks to build within its broader portfolio. "Atlantic Aviation exemplifies the kind of scaled, essential infrastructure platform we seek to build in our portfolio. Over the past five years, we have worked closely with ... the team to expand and strengthen the business, and we believe there is meaningful opportunity ahead," Lane said. He added that KKR's continued involvement reflects confidence in both the platform itself and the sector's long-term growth prospects, while welcoming Apollo's funds as new co-investors.

The Scale Behind Both Firms

KKR's infrastructure arm carries more than $120 billion in infrastructure assets and has been investing on a global scale for nearly two decades, according to the statement. Apollo, meanwhile, has originated more than $155 billion in infrastructure transactions and financings over just the past five years, spanning energy, transportation, digital and industrial sectors — numbers that underscore just how much capital and expertise both firms bring to this single partnership.

Apollo's Case for the Investment

Apollo partner David Cohen pointed to Atlantic Aviation's entrenched position at some of the country's busiest airports as a key draw. "Atlantic has built an irreplicable infrastructure footprint across the nation's busiest airports, underpinned by long-term concession agreements and a customer base that values reliability and service above all else," Cohen said. He added that the private aviation market benefits from structural tailwinds Apollo expects to persist, positioning Atlantic Aviation well to capture continued growth in the sector.

The Legal Teams Behind the Deal

The Kirkland & Ellis team advising KKR included corporate partners John Pitts, Kyle Watson and Emily Lichtenheld, tax partner David Wheat, debt finance partners Lucas Spivey and Osaro Aifuwa, and executive compensation partner Rob Fowler.

Full legal counsel information for the Paul Weiss Rifkind Wharton & Garrison team advising Apollo was not immediately available Thursday.
