Satellite communications company Astrum Space Inc. is trading its private status for a spot on the New York Stock Exchange. The company announced Thursday it plans to go public by merging with special purpose acquisition company Black Spade Acquisition III Co., in a deal that pegs Astrum's equity value at roughly $1 billion.

The New Company Taking Shape

Once the merger closes, the combined business will operate under the name Astrum Space Co., with shares trading publicly on the NYSE, according to a company statement — transforming a satellite infrastructure startup into a publicly traded entity almost overnight.

What Astrum Actually Builds

Headquartered in El Segundo, California, Astrum is developing something ambitious: a wholesale satellite-to-device broadcast and data distribution network, designed to deliver wide-area data and content services across the Asia-Pacific region — essentially building infrastructure that could beam connectivity directly to devices without relying on traditional ground-based networks.

Leadership's Vision for the Merger

Astrum President and CEO Michael Do framed the deal as validation of years spent laying groundwork rather than a shortcut to going public. "Astrum has reached an important inflection point. We have assembled the spectrum, orbital resources and satellite infrastructure to develop a differentiated (satellite-to-device) broadcast platform across Asia-Pacific," Do said. "The proposed combination with Black Spade Acquisition III Co. is expected to strengthen our ability to execute our commercialization strategy and expand strategic partnerships across the region."

Who Owns What After the Deal

Once the transaction closes, existing Astrum shareholders are positioned to retain more than 80% ownership of the newly combined company — a structure that keeps control firmly in the hands of Astrum's original backers, even as the company transitions into public markets.

Understanding the SPAC Behind the Deal

Black Spade Acquisition III Co. operates as a special purpose acquisition company, commonly known as a SPAC — essentially a shell company that raises money through its own initial public offering, then uses that capital to acquire a private business and usher it onto public markets. In its own IPO filings, Black Spade III told regulators it intended to pursue a merger with a company positioned at the intersection of entertainment-related enabling technology and digital infrastructure.

Black Spade III Co-CEO and Executive Chairman Dennis Tam praised Astrum's leadership team for their patience and vision in building out the company's technology. "We have been encouraged by the dedication and long-term vision of Astrum's management team as they develop services designed to broaden connectivity across the region. Astrum has developed a satellite network and a spectrum position intended to support its connectivity and broadcast initiatives," Tam said. "This partnership with Astrum reflects our belief in the power of enabling technologies to create meaningful impact."

A Track Record of Prior SPAC Deals

This isn't Black Spade Capital Limited's first rodeo with blank-check mergers. Astrum represents the third SPAC the firm has launched. Its first iteration merged with VinFast Auto back in August 2023, in a deal valued at $27 billion. Its second completed a $488 million merger with global media and entertainment company The Generation Essentials Group in June 2025 — giving Black Spade a growing track record of ushering companies from private ownership into public markets.

What Comes Next

The deal is expected to close by the end of the year, pending regulatory approvals, shareholder sign-off, and other customary closing conditions typical of SPAC transactions.
