In the world of energy infrastructure, growth often looks less like a sudden leap and more like laying one more mile of pipe at a time. This week, that mile just got a whole lot bigger. Enbridge Inc. has agreed to acquire Tallgrass Energy's crude oil business for $2.55 billion in cash, a move set to widen its pipeline footprint across the U.S. Rockies. Three heavyweight law firms helped shepherd the deal across the line: Sidley Austin LLP and Sullivan & Cromwell LLP advised Enbridge, while Vinson & Elkins LLP represented Tallgrass.

The Crown Jewel: Pony Express

At the center of the transaction sits a 75% stake in the Pony Express Pipeline — a 1,050-mile artery capable of moving roughly 460,000 barrels of crude per day. Think of it as a high-capacity highway system, ferrying oil from Rockies production fields all the way to Cushing, Oklahoma, according to Wednesday's deal announcement.

More Than Just One Pipeline

The Pony Express stake is just the headline act. The deal also folds in a 51% stake in the Powder River Gateway system, roughly 8.4 million barrels of storage capacity, and Stanchion Energy, a crude marketing business — together forming a broader package that extends Enbridge's reach well beyond a single pipeline.

PXP2: Room to Grow

Also bundled into the agreement is PXP2, a $300 million expansion project for Pony Express designed to push the pipeline's capacity up to about 515,000 barrels per day by late 2027 — a forward-looking upgrade that suggests this deal is as much about future capacity as it is about what's flowing today.

Clearing the Regulatory Runway

The transaction is expected to close later this year, though it still needs to clear regulatory approvals, including the standard gauntlet of U.S. antitrust law review — a checkpoint that stands between handshake and finalized ownership.

How Enbridge Plans to Pay for It

Rather than footing the entire bill with cash reserves alone, Enbridge intends to partially fund this acquisition — alongside its previously announced purchase of Salt Creek Midstream's crude gathering business — through an equity offering, effectively spreading the cost across new shares rather than relying solely on existing capital.

The Legal Teams Behind the Deal

Sidley's team advising Enbridge is led by partners Atman Shukla, Cliff Vrielink and Stephen Boone, along with managing associate Anthony Hilbert. On the Tallgrass side, Vinson & Elkins' team is headed by partners Lande Spottswood and Will Myer. Deal team details for Sullivan & Cromwell were not immediately available.

Taken together, the acquisition reads like a company doubling down on a bet it already believes in — more pipeline, more storage, more capacity, all stitched into a single expanding network built to carry crude further and faster for years to come.
