SIAA Acquires Canopy in Specialty Insurance Expansion

SIAA Acquires Canopy

The insurance landscape is shifting again as SIAA Acquires Canopy, bringing a transatlantic specialty managing general agent into its growing distribution platform.

SIAA has acquired Canopy Specialty Insurance, adding specialized underwriting and product development capabilities to its operations while opening additional avenues for independent agents and insurance partners seeking niche commercial coverage.

Canopy operates as a specialty commercial property and casualty managing general agent in both the United States and the United Kingdom. Its existing programs, carrier relationships and wholesale distribution network will now become part of SIAA's broader specialty strategy.

The acquisition gives SIAA another tool for identifying hard-to-place specialty risks and developing insurance solutions aimed at specific segments of the commercial market.

Canopy Brings Specialty Expertise to SIAA

SIAA CEO Matt Masiello said independent insurance agencies continue to face strong demand for specialty coverage, even as finding solutions for highly targeted risks can prove challenging.

Canopy's underwriting and product development capabilities, he said, will allow SIAA to identify opportunities across the specialty market and create and underwrite products and programs designed for its agency network.

The transaction also gives SIAA access to Canopy's existing specialty programs, carrier relationships and wholesale distribution capabilities.

Canopy concentrates on niche commercial risks involving small and midsize businesses. Its specialty portfolio includes contractors' liability, excess casualty, legal indemnity programs and other specialized exposures.

Canopy to Maintain Existing Relationships

Under CEO Justin Tweedie, Canopy will continue operating with its underwriting authority, existing carrier capacity and wholesale relationships intact.

Tweedie said Canopy was built around specialized underwriting knowledge and longstanding relationships with both carriers and wholesale partners.

Joining SIAA, he said, provides additional resources and distribution opportunities that could help Canopy expand existing programs, create new specialty products and strengthen its underwriting platform without abandoning the relationships that have supported the business.

SIAA Adds Canopy to Intelligent Distribution Strategy

The acquisition will place Canopy within SIAA's broader Intelligent Distribution strategy, adding another layer of specialty underwriting capability to an organization that already operates across several distribution channels.

SIAA's structure includes its Agent Alliance, retail distribution through Sequel Insurance Agencies and wholesale distribution through Xchange.

Initially, SIAA plans to support Canopy's established specialty programs and wholesale relationships. From there, the company sees potential for broader distribution, additional specialty programs and expanded underwriting teams to fuel future growth.

Canopy develops and underwrites specialized commercial insurance products on behalf of insurance carriers and Lloyd's syndicates. Its platform is supported by experienced underwriters and longstanding wholesale distribution relationships, giving the business a specialized position within the commercial insurance market.

SIAA Xchange Expands Wholesale Capabilities

SIAA Xchange, the company's embedded wholesaler and MGA, is led by CEO Hunter Moss and focuses on excess and surplus placements involving wholesalers and MGAs.

The operation is licensed as an insurance producer and surplus lines broker across all 50 states and Washington, D.C. It is also a Lloyd's of London coverholder.

The Canopy acquisition adds another specialty component to that distribution infrastructure, potentially connecting niche commercial products with a much larger independent agency network.

SIAA's Independent Agency Network

SIAA's Agent Alliance includes more than 5,200 independent insurance agency members that collectively write more than $18 billion in total premium.

The organization has been backed by Odyssey Investment Partners since 2021, providing financial support as SIAA has continued developing its distribution platform.

For the Canopy transaction, BMS Capital Solutions & Advisory served as SIAA's financial adviser.

As Canopy moves into its new chapter under SIAA, the transaction brings together specialty underwriting expertise and an expansive independent agency network — a combination designed to turn hard-to-find commercial insurance opportunities into a broader pipeline of products and programs.
