Private equity giant Apax Partners LLP is stepping into pharmaceutical packaging in a big way, agreeing to buy two businesses from Germany's Gerresheimer AG in a deal worth €1.5 billion — roughly $1.7 billion — the companies announced Wednesday. The move signals a clear bet on U.S. expansion, with both sides framing the transaction as a launchpad rather than a finish line.

The Businesses Changing Hands

Under the terms of the deal, Apax will acquire Centor US Holding Inc. along with Gerresheimer's global primary packaging plastics business — two units that, together, carry a combined valuation of €1.5 billion once debt is factored in. It's less a simple purchase than a corporate handoff of two specialized manufacturing arms built for one of the world's most tightly regulated industries.

Legal Teams Behind the Scenes

Latham & Watkins LLP is serving as legal counsel to Gerresheimer throughout the transaction, though details on Apax's own legal representation weren't immediately available — a gap that may fill in as the deal moves toward closing.

What Gerresheimer Actually Makes

Gerresheimer, headquartered in Dusseldorf and listed on the Frankfurt Stock Exchange, has built its business around packaging products designed for medication and drug delivery — the kind of unglamorous but essential manufacturing that keeps pharmacies stocked and medicine safely contained.

Centor and the Plastics Arm, Explained

Its Centor business focuses on prescription vials, liquid ovals — a specific style of medicine bottle — and ointment jars supplied to pharmaceutical companies across the United States. Meanwhile, Gerresheimer's packaging plastics subsidiary relies on injection molding and blow-molding techniques to churn out plastic containers across nine countries, a footprint that stretches well beyond Europe's borders.

Together, these two units generated roughly €570 million in revenue during 2025 — a figure that helps explain why Apax saw enough upside to write a billion-euro check.

Why Apax Is Betting Big

Mehmet Tar, a principal at Apax, said the acquisition will give both Centor and the plastics unit the financial runway to invest in capacity, innovation and, notably, further U.S. expansion once the deal is finalized — framing the purchase less as an endpoint and more as fuel for future growth.

Gerresheimer's Side of the Ledger

For Gerresheimer, the calculus runs in the opposite direction. The company said it plans to funnel the proceeds toward strengthening its balance sheet and paying down debt — essentially trading two operating units for financial breathing room. Chief Executive Uwe Röhrhoff put it plainly: "this transaction allows us to regain our strategic flexibility," suggesting the deal is as much about future maneuverability as it is about the money on the table.

A Deal Still Awaiting the Green Light

The companies confirmed the transaction still needs regulatory approval, though they didn't specify which authorities will be weighing in. Timing-wise, they're aiming for the Centor sale to close by December 2026, with the primary packaging plastics business expected to follow by June 2027 — a staggered timeline that gives regulators, and the companies themselves, room to work through the details methodically rather than all at once.

Morgan Stanley & Co. International PLC and Commerzbank are serving as financial advisers to Gerresheimer as the deal moves through its next stages.
