Protective Life Corporation, the U.S. arm of Japan’s Daiichi Life Group, has struck a deal to acquire Obsidian Insurance Holdings in a move that signals a sharp expansion into the property and casualty insurance arena. The agreement, announced alongside private equity firm Genstar Capital, brings one of the industry’s fast-growing specialty insurance platforms under Protective’s umbrella.

The deal adds another layer to Protective’s steady acquisition streak, positioning the company deeper in niche insurance markets where risk is sliced thin but opportunity runs wide.

Obsidian becomes a strategic entry point into specialty P&C

Obsidian Insurance Holdings operates as a holding company with both admitted and non-admitted carrier subsidiaries. It issues policies through managing general agents, underwriters, and program managers—essentially acting as a central engine connecting capital with highly specialized insurance risks.

The company structures, underwrites, and manages a wide portfolio of property, casualty, and specialty programs, while reinsuring much of its exposure through select partners. Since its founding in 2020 under Genstar Capital, Obsidian has scaled quickly, surpassing $1 billion in annual gross written premiums and building nationwide reach across program partners.

Protective sees long-term growth in specialty expansion

Protective leadership framed the acquisition as both a diversification move and a calculated step into a more complex corner of the insurance market.

“We are adding a high-quality specialty insurance platform that expands where and how we grow,” said Rich Bielen, CEO of Protective. He described the acquisition as aligned with the company’s long-term mission to “protect more people through life’s many moments.”

Once finalized, Obsidian will become a new business line within Protective, broadening its earnings base beyond traditional life and annuity products.

A platform built for risk—and scale

Obsidian was created by Genstar Capital in response to growing demand for insurers capable of handling program-based underwriting. The model bridges specialist underwriting expertise with reinsurance capital, allowing flexibility in how risk is packaged and distributed.

Genstar partnered with insurance executives William Jewett and Craig Rappaport to launch the firm. Since then, Obsidian has expanded its underwriting network and developed a reputation for disciplined risk selection and program management.

Jewett called the deal a “meaningful milestone,” adding that Protective’s financial strength would help accelerate Obsidian’s next stage of growth.

A deal driven by capital strength and long-term strategy

Protective executives emphasized the transaction as a natural evolution of its acquisition-heavy growth strategy.

“This is a meaningful milestone as we enter the specialty property and casualty market through a proven platform,” said Wade Harrison, Vice Chairman and COO of Protective. He noted that Obsidian’s structure aligns with Protective’s focus on disciplined risk and long-term partnerships.

Genstar Capital, which will exit ownership through the transaction, said Obsidian had delivered on its original business plan and built a “premier specialty insurance platform.”

Ryan Clark, Managing Partner at Genstar, said Protective represents the right next steward for the business.

Scale, timing, and industry reach

The deal is expected to close in late 2026 or early 2027, pending regulatory approval. Once completed, it will mark Protective’s 62nd acquisition and its ninth since joining Daiichi Life in 2015.

Daiichi Life, which manages more than $462 billion in assets, operates across 10 countries and uses Protective as its North American expansion engine.

Advisory support for the deal includes Citi as financial advisor, Oliver Wyman as actuarial advisor, and Willkie Farr & Gallagher LLP as legal counsel for Protective. Obsidian is advised by Ropes & Gray LLP and Mayer Brown LLP.

If approved, the acquisition will deepen Protective’s footprint in specialty insurance—an area increasingly shaped by complex underwriting models and reinsurance-driven structures. For Obsidian, the deal offers scale and long-term capital backing. For Protective, it opens a faster lane into one of insurance’s most competitive growth segments.
