Big companies sometimes grow by letting go, the way a gardener prunes branches so the strongest ones thrive. Prudential Financial Inc. said Tuesday it has agreed to sell its businesses in Brazil and Mexico to French insurer CNP Assurances Group for $4.03 billion in cash. Willkie Farr & Gallagher LLP and Skadden Arps Slate Meagher & Flom LLP are among six international law firms advising on the deal.

Part of a Bigger Retreat

The sale is part of Prudential’s broader effort to exit emerging markets and focus capital on its main businesses in the U.S., Japan and certain European markets, according to its announcement. It follows a string of exits. Prudential recently left several joint ventures, including its stakes in Indonesian insurer PT PFI Mega Life Insurance, South African financial services company Alexforbes and Kenyan insurer ICEA LION.

The company said the transactions reflect a strategy to narrow its geographic footprint while maximizing value from the businesses it is leaving.

Timeline and Structure

The deal is expected to close in the second half of 2027, subject to customary closing conditions, including regulatory approvals. CNP will acquire the Brazilian and Mexican operations through its subsidiaries CNP Seguradora and CNP Assurances Holding, respectively.

What CNP Sees

The French insurer said the businesses offer growth opportunities through their distribution capabilities, including Prudential’s Life Planner network, and established customer relationships.

Where the Money Goes

Prudential plans to use the proceeds to support its capital allocation priorities and invest in growth opportunities in retirement, asset management and select protection businesses in the U.S., Japan and certain European markets.

Skadden, led by partners Liana-Marie Lien, Patrick Lewis, Paul Schnell and Todd Freed, is representing CNP, along with BMA Advogados in Brazil and Galicia Abogados SC in Mexico.

With the cash headed home and the Latin American operations headed to Paris, Prudential is betting that a smaller map will produce a stronger company.
