TKT Faces Federal Circuit Scrutiny Over Missed Trade Deadline

TKT Trade Deadline suit

A Federal Circuit panel expressed frustration Friday during a hearing on whether a Kazakh metallurgical company, Tau-Ken Temir LLP (TKT), should face a steep 160% countervailing duty for missing U.S. Department of Commerce deadlines. The case hinges on whether Commerce was justified in imposing the penalty after TKT failed to submit documents on time during an anti-subsidy investigation.

Debate Over Missed Deadlines and Adverse Inferences

The panel, comprising U.S. Circuit Judges Todd M. Hughes, Timothy B. Dyk, and Sharon Prost, grilled attorneys for TKT, the government, and domestic petitioners Mississippi Silicon LLC and Globe Specialty Metals Inc. The judges sought clarity on whether Commerce acted within its discretion to apply adverse inferences due to TKT's delays.

Judge Hughes questioned TKT's attorney, Peter Koenig of Squire Patton Boggs LLP, about why the company failed to meet its third extended deadline, noting that TKT requested an additional extension only after realizing the submission would be late. “Why isn't that a basis for adverse inferences?” Hughes asked, emphasizing the importance of deadlines in ensuring fair trade determinations.

TKT’s Defense: Cooperation Despite Delays

Koenig argued that the delays stemmed from last-minute document issues, including corrupted data files. He maintained that TKT made a genuine effort to cooperate and should not be penalized with such a punitive rate.

"We attempted to meet the deadline to the best of our ability," Koenig stated, pushing back against the notion that the company’s actions warranted adverse inferences. He also cited the Federal Circuit's decision in Oman Fasteners LLC v. U.S., where a penalty for a minor delay was overturned, arguing TKT’s situation was analogous.

Judge Hughes, however, distinguished Oman Fasteners, stating, “In Oman, the delay was minimal. Here, you had multiple extensions and still failed to upload the documents on time.”


Questions Over Commerce’s Approach

Judge Dyk questioned whether Commerce could have applied a less severe penalty, such as a smaller countervailing duty rate, rather than the maximum adverse facts available (AFA) rate. “Isn’t the purpose of AFA to encourage cooperation?” Dyk asked, suggesting that an excessively harsh rate might undermine that goal.

Judge Prost sought middle ground, asking if Commerce could rely on the available facts without imposing adverse inferences. Department of Justice attorney Brendan Jordan responded that Commerce has discretion to deny further extensions when a respondent repeatedly fails to meet deadlines.

However, Prost noted that Commerce’s first extension for TKT was shorter than requested, which may have exacerbated the situation. “If Commerce had granted the requested two-week extension initially, none of this might have happened,” she said.

Potential Precedent on Deadlines and Penalties

The panel's exchanges revealed competing priorities: enforcing deadlines to maintain the integrity of trade investigations versus ensuring proportionality in penalties for noncompliance. Judge Dyk speculated whether rejecting TKT’s submission was arbitrary and proposed a partial AFA rate to deter future delays without imposing the maximum penalty.

The government’s counsel resisted the idea, arguing that Commerce’s decision was reasonable based on TKT’s conduct.

Industry Petitioners and Final Arguments

Mississippi Silicon and Globe Specialty Metals, represented by Jennifer M. Smith-Veluz of The Bristol Group PLLC, supported Commerce's approach but faced criticism for not directly answering judicial questions. Judge Dyk remarked, “There’s no point in being up there if you don’t answer questions.”

Outlook

The Federal Circuit's decision could have broad implications for how Commerce applies adverse inferences in trade investigations, particularly when respondents miss deadlines. A ruling in TKT’s favor could pressure Commerce to grant more leniency in future cases, while a decision upholding the penalty may reinforce strict adherence to deadlines.
