Fruit Street Health PBC Announces Conclusion of SEC Securities Investigation

Fruit Street Health PBC, a leading telehealth provider specializing in diabetes prevention, announced today that the U.S. Securities and Exchange Commission (SEC) has officially closed its securities investigation into the company.

The company received formal notification from the SEC confirming that the agency’s inquiry has concluded and that enforcement staff do not intend to recommend any further action against Fruit Street. The investigation had focused on allegations related to potentially false and misleading statements made to investors and an unregistered securities offering.

Fruit Street Health PBC, which offers telehealth and video conferencing services with registered dietitians to individuals with prediabetes, is also a Medicare Diabetes Prevention Program supplier and a Medicaid provider in Illinois.

In a statement issued Monday, Fruit Street’s leadership reaffirmed its commitment to serving Medicare beneficiaries and addressing systemic barriers to care, stating, “We remain dedicated to this mission and look forward to building a healthier future for Americans for years to come.”

Previously, the SEC filed a lawsuit against Fruit Street in October seeking to enforce compliance with a subpoena related to the investigation. The company began producing requested documents shortly after the lawsuit was filed, leading a New York federal judge to dismiss the case without prejudice on March 7.
