Private equity powerhouse Warburg Pincus LLC announced Monday it will acquire PSI Software SE, a Berlin-based energy and industrial software firm, in a blockbuster €702 million ($812 million) deal that underscores its growing ambitions in the global energy and industrial technology markets.

Through its subsidiary Zest BidCo GmbH, the firm will launch a voluntary public takeover offer for PSI, offering €45 in cash per share—a striking 84% premium over PSI’s recent closing price on Xetra, the Frankfurt Stock Exchange’s electronic trading platform.

The transaction, financed through a mix of equity and debt, represents one of the largest recent cross-border acquisitions in the European industrial software sector.

Legal and Financial Powerhouses Back the Deal

The deal brings together some of the world’s most elite advisors. Kirkland & Ellis LLP is steering Warburg Pincus through the acquisition, led by corporate partner Benjamin Leyendecker in Munich. J.P. Morgan serves as the financial adviser.

On PSI’s side, Linklaters LLP is leading counsel with corporate and M&A partner Klaus von der Linden at the helm, while Goldman Sachs Bank Europe SE acts as PSI’s financial adviser.

Warburg Pincus managing directors Max Fowinkel and Ryan Dalton described the partnership as a strategic leap forward:

PSI’s Next Chapter: Cloud Expansion and Global Reach

Founded in Berlin, PSI Software SE builds and integrates digital platforms for energy suppliers, manufacturers, and infrastructure operators across Europe and beyond.

Under Warburg Pincus’ ownership, PSI is set to accelerate its transition toward subscription and cloud-based services, driving modernization and efficiency in critical industrial sectors. The firm said its backing will bolster PSI’s international expansion, strategic acquisitions, and digital process optimization.

Warburg Pincus has already secured commitments from key shareholders controlling about 28.5% of PSI’s share capital, one of whom will partially reinvest in PSI’s new holding structure. Meanwhile, European utility giant E.on, PSI’s second-largest shareholder with a 17.7% stake, has agreed to a non-tender pact with Warburg Pincus, signaling continued confidence in PSI’s future.

Both parties agreed that PSI’s operations and financial structure will remain independent for at least two years post-acquisition, maintaining operational stability during the transition.

Broader Strategy in Motion

This acquisition comes as Warburg Pincus continues to deepen its investments in technology and industrial innovation. Earlier in October, the private equity firm confirmed it was still evaluating a potential offer for professional services company JTC PLC, reflecting an aggressive expansion streak.

Neither Warburg Pincus nor PSI immediately commented on the announcement, but the move cements Warburg’s reputation for seizing high-value opportunities where digital infrastructure meets industrial growth—a calculated bet on the future of energy technology.
