GE Aerospace $11.75B CPP Deal

Jet engines rely on components forged with almost surgical precision, and GE Aerospace just made sure it controls one of the most critical sources of those parts. The company announced Tuesday it has agreed to acquire engineered castings maker Consolidated Precision Products from private investment firms Warburg Pincus and Berkshire Partners, in a deal valued at $11.75 billion.

Legal Teams and Closing Timeline

Paul Weiss Rifkind Wharton & Garrison LLP is advising GE Aerospace on the transaction, while Cleary Gottlieb Steen & Hamilton LLP is representing CPP. GE said the deal is expected to close during the second half of 2027, pending regulatory approvals and other customary closing conditions.

How the Deal Gets Financed

The acquisition will be funded through a combination of $7 billion in cash, with the remainder covered through newly issued debt, according to GE.

What CPP Brings to GE Aerospace

CPP specializes in manufacturing precision investment castings and sand castings, serving the aerospace, defense and gas power generation sectors. For GE Aerospace, the acquisition means gaining direct control over a critical supplier of the precision castings used in jet engines — a category where GE Aerospace already ranks among the world's top providers.

Leadership's Strategic Rationale

GE Aerospace Chair and CEO H. Lawrence Culp Jr. framed the acquisition as a move toward expanded capability rather than just supply chain security. The deal will allow the companies to "expand capacity, improve performance and accelerate new engine technologies for the current fleet and next-generation platforms," Culp said in a statement.

A Look at CPP's Global Operations

Cleveland-based CPP employs roughly 6,600 people across more than 20 facilities worldwide. GE noted that it has actually been a customer of CPP for more than 15 years, meaning this acquisition formalizes a long-standing business relationship rather than forging an entirely new one.

CPP's CEO on the Partnership

CPP CEO James Stewart echoed that sense of continuity, describing GE as "a great partner to CPP for many years." He added: "As we advance our position as an industry leader in castings, GE Aerospace has expressed strong enthusiasm for supporting our continued growth and expanded vision. Together, we look forward to delivering meaningful value and advancing the success of both organizations."

CPP's Ownership History

Warburg Pincus first acquired CPP back in 2011, through a recapitalization agreement struck with Arlington Capital Partners. Berkshire Partners later entered the picture in 2019, through a separate recapitalization transaction that granted the firm a co-majority ownership stake alongside Warburg.

The Outgoing Owners' Perspective

Warburg managing director Dan Zamlong said his firm had overseen "significant investments in its operations, technology, quality systems and talent" during its ownership tenure. Berkshire managing director Blake Gottesman added, "We have strengthened CPP's leadership in the castings industry" — both framing the sale as the culmination of years spent building up the company's capabilities before handing it off to GE Aerospace.

The Legal Teams Behind the Deal

The Paul Weiss team advising GE Aerospace includes partners Steven J. Williams, Michael Darby and Scott A. Barshay. Deal team information for Cleary Gottlieb was not immediately available.
