Inside the $50 Million Legal Battle

  • A federal judge rejected an effort to dismiss the lawsuit involving Mike Tyson, Ric Flair, and their cannabis businesses.
  • Former business associates face accusations of diverting company funds, collecting undisclosed payments, and exploiting celebrity licensing agreements.
  • A separate Delaware ruling raises an unexpected question about who must pay the accused executives' legal bills.

Mike Tyson and wrestling legend Ric Flair have cleared a major legal hurdle in their $50 million cannabis business dispute after a federal judge in Illinois declined to dismiss their racketeering lawsuit against five former business associates.

But USA Herald's review of the litigation uncovered another development that makes this dispute considerably more complicated. While Tyson and Flair are pursuing millions in alleged losses, several defendants have separately secured a Delaware court ruling concerning payment of their legal defense expenses.

The federal lawsuit, Tyson v. Bronstein, Case No. 1:25-cv-15462, was filed December 19, 2025, in the U.S. District Court for the Northern District of Illinois. The plaintiffs include Tyson, Flair — whose legal name is Richard Fliehr — Carma HoldCo, Tyson 2.0, and LGNDS LLC.

According to the federal court docket, the defendants are Chad Bronstein, Adam Wilks, Nicole Cosby, James Case, and Christopher Volo. Their joint motion to dismiss the second amended complaint was filed May 26, 2026. The court subsequently entered an order addressing dismissal on October 21.

The allegations are serious.

Tyson and Flair contend that former Carma executives abused their positions within the cannabis licensing operation, allegedly diverting more than $1 million in corporate funds for personal expenses, including private jets, yacht-related expenditures, and home renovations.

The lawsuit further accuses certain defendants of negotiating licensing arrangements that allegedly benefited themselves through undisclosed kickbacks rather than protecting the companies and celebrity brands they were entrusted to manage.

The alleged misconduct strikes at the business model behind Tyson 2.0 and Ric Flair's cannabis ventures. Both celebrities licensed commercially valuable names, images, and reputations to products whose profitability depended heavily on management decisions and licensing agreements.

For Tyson and Flair, the alleged financial damage extends beyond money improperly spent. Their claims also concern lost business opportunities and revenue potentially diverted through arrangements they say were concealed from them.

The defendants have denied wrongdoing.

Importantly, the federal court's refusal to terminate the case at the pleading stage is not a determination that anyone committed fraud or racketeering. The plaintiffs must still establish their claims through admissible evidence, and the defendants retain the opportunity to contest those allegations.

That distinction matters because civil RICO claims under 18 U.S.C. § 1962 require more than proof of poor corporate management or questionable spending. Plaintiffs generally must establish legally recognized racketeering conduct, the required pattern and enterprise elements, and a qualifying injury connected to the alleged violations.

Under 18 U.S.C. § 1964(c), successful private RICO plaintiffs may recover three times their qualifying damages, along with reasonable attorney fees. That potential exposure makes the litigation particularly consequential.

Yet another court has already handed several defendants a meaningful procedural victory.

On October 23, 2026, Delaware Vice Chancellor Bonnie W. David issued a written opinion in Chad Bronstein et al. v. Tyson 2.0 Inc., affirming determinations concerning advancement of litigation expenses.

The Delaware proceeding arose because Bronstein, Cosby, and Wilks sought payment of defense expenses associated with the Illinois litigation.

The ruling addressed contractual and corporate rights to advancement, not whether the defendants actually committed the alleged misconduct.

This creates an unusual financial dimension. While Tyson and Flair's side pursues recovery for alleged corporate wrongdoing, companies associated with the litigation may also face obligations to finance aspects of the defense.

Whether those expenses ultimately remain with the companies depends on the applicable agreements, indemnification rights, and subsequent proceedings.

For now, the central question remains unanswered: Were the disputed transactions legitimate corporate expenditures and business decisions, or part of a deliberate effort to divert money from the celebrity-backed companies?

The answer will depend on financial records, contractual authority, communications, and the evidence developed as the federal case proceeds.
