K3 Business Technology Group PLC has announced the sale of its subsidiary NexSys to Syspro for £36 million ($46 million). The U.K.-based business software group revealed Monday that the deal, pending shareholder approval, is expected to close on or around Jan. 8, 2025, marking a significant step in its strategic plan to expand operations in the U.K. and Europe.

The transaction, which does not require regulatory approval, will be presented for shareholder voting at a general meeting on Dec. 19, where K3's directors will unanimously recommend approval.

Syspro Sees Strategic Fit in NexSys Acquisition

Syspro, supported by U.S. private equity firm Advent International Corp., is acquiring NexSys as part of a broader strategy to strengthen its foothold in the U.K. and enhance its digital manufacturing offerings across Europe.

Jaco Maritz, Syspro's CEO, emphasized the long-standing partnership between the two companies, which spans over 40 years. In a regulatory statement to the London Stock Exchange, he described NexSys as a “compelling strategic fit” that aligns with Syspro’s vision of growth and innovation.

“This deal is a key milestone in our plan to expand in the U.K. and Europe while enriching our digital manufacturing suite with new products and capabilities,” Maritz said.

NexSys’ software solutions focus on helping businesses optimize operations by eliminating waste, reducing costs, and fostering innovation. Its tools enable real-time decision-making, crucial for navigating the digital era.

Premium Offer and Shareholder Returns

K3 highlighted the attractiveness of Syspro's offer, noting it represents a 28.8% premium over K3’s market capitalization of approximately £28 million as of late November. The company plans to distribute a substantial portion of the proceeds to shareholders in the first half of 2025, while retaining a portion for working capital needs.

NexSys has been a strong performer for K3, reporting a 5.9% increase in operating profit, rising to £3.6 million in the 12 months ending November 2023, compared to £3.4 million in the prior year.

Market Reaction and Strategic Rationale

K3’s announcement had an immediate impact on its stock price, which surged 40% to 87.50 pence on Monday afternoon, up from 62.50 pence at the close of trading Friday.

K3 CEO Eric Dodd said the sale is a strategic move aligning NexSys with a capable investor in Advent, which recently acquired a majority stake in Syspro.

“NexSys is a superb fit for Advent, the largest reseller of Syspro software in the U.K. and Ireland,” Dodd said. “Advent’s resources and expertise will unlock NexSys’ full potential.”
