Breedon Buys Lionmark for $238M

Breedon Group PLC has struck a monumental deal, acquiring U.S.-based Lionmark Construction Companies LLC for $238 million, solidifying its presence in the American construction materials market. The British construction materials titan, which trades on the London Stock Exchange, is betting big on U.S. infrastructure demand as it aggressively expands across the Atlantic.

The deal, which Breedon unveiled Wednesday, will see the FTSE 250-listed company pay $226 million in cash through an existing credit facility, along with an additional $12 million in stock. Lionmark, headquartered in St. Louis, Missouri, has agreed to hold 2.1 million Breedon shares for at least a year. The transaction is set to close by Friday.

A Game-Changer for Breedon’s U.S. Operations

“This acquisition is a landmark moment for Breedon in North America,” CEO Rob Wood said in a statement. “The addition of Lionmark will more than double our U.S. revenue, making our American operations comparable in scale to our Irish division. The move also strengthens our vertically integrated business model while preserving our financial flexibility to pay dividends and pursue further acquisitions.”

Breedon made its first major move in the U.S. market just a year ago with the $300 million acquisition of Missouri-based concrete supplier BMC Enterprises Inc. With the addition of Lionmark, the company’s stateside operations are expanding at breakneck speed.

Lionmark: A Powerhouse in Infrastructure Construction

Lionmark specializes in infrastructure projects across the U.S. Midwest, providing construction and material services for road and bridge projects while also manufacturing asphalt and aggregates. The company reported $246 million in unaudited revenue and $31 million in pretax profits for the 12 months ending November 2024, according to Breedon’s financial disclosures.

Missouri, where Lionmark generates nearly 75% of its revenue, boasts the sixth-largest road network in the country, with roughly 90% of those roads surfaced with asphalt. Texas, Lionmark’s second-largest market, accounts for 17% of its revenue and benefits from the largest transportation funding initiative in the U.S. The federal Infrastructure Investment and Jobs Act has allocated $375 billion for highway projects, with only a third of that sum utilized as of December 2024.

Breedon’s Strategic Play in a Booming Market

Breedon’s aggressive U.S. expansion aligns with rising demand for sustainable construction materials and infrastructure investment. The Leicestershire-based firm expects the Lionmark acquisition to fuel long-term growth by integrating multiple stages of its supply chain and adding asphalt production and surfacing to its expanding portfolio.

The company’s financial health remains strong, reporting £245.8 million ($316.3 million) in pretax profits for 2024, a 6% increase from the previous year’s £231.8 million. Analysts see the move as a strategic masterstroke, positioning Breedon to capitalize on a market that is forecast to skyrocket. A February 2025 report from Precedence Research projects the global sustainable construction materials sector will reach $484 billion this year and grow at an annual rate of 12.5%, hitting $1.4 trillion by 2034.

Final Steps Before Closing

Legal counsel for Breedon is being provided by Lewis Rice LLC, while representation for Lionmark has not yet been disclosed. The acquisition is expected to officially close by the end of the week, setting the stage for Breedon’s next phase of growth in the U.S. construction sector.
