In a deal radiating financial wattage, Stonepeak has agreed to acquire a 46.3% stake in Repsol’s expansive U.S. solar and storage portfolio for $340 million, marking a significant leap in the global energy shift toward renewables. The agreement, revealed Tuesday, underscores the growing appetite for green infrastructure and strategic asset-sharing in the energy sector.

The portfolio — a high-voltage blend of sun and storage spanning 777 megawatts — is valued at approximately $795 million, inclusive of $60 million in tax equity already raised. Legal heavyweights Vinson & Elkins LLP and Latham & Watkins LLP represented Stonepeak and Repsol, respectively.

Mega Projects: Frye and Jicarilla Shine Bright

The shining jewel in the portfolio is the 632-megawatt Frye solar farm, spread across Swisher County, Texas — Repsol’s largest photovoltaic power plant to date. Not far behind is the Jicarilla complex in Rio Arriba County, New Mexico, combining 125 megawatts of solar with a 20-megawatt battery storage system — a dual-threat design that boosts both reliability and grid flexibility.

Both assets were completed in 2024 and are bolstered by long-term revenue contracts, making them as attractive to investors as desert sunlight to solar panels.

Repsol’s Sixth Asset Rotation Sparks Strategic Surge

The transaction marks Repsol’s sixth asset rotation since November 2021 — a tactic akin to shedding skin to grow stronger. Through this strategy, the Madrid-based multi-energy giant monetizes developed assets while bringing in strategic partners like Stonepeak to infuse capital and amplify value.

“We are very proud to start a partnership with Stonepeak in our first renewable asset rotation in the U.S. market,” said João Costeira, executive managing director of low-carbon generation at Repsol. “Once again, our portfolio has confirmed its attractiveness to leading investors, validating our strategy on renewables.”

This rotation not only fuels capital recycling but helps Repsol maintain operational control while scaling up its global renewable ambitions — currently operating nearly 4,000 megawatts with a 60,000-megawatt pipeline in the wings.

Stonepeak’s Vision: Powering the Grid When It’s Needed Most

Stonepeak, a New York-based infrastructure titan with $73 billion in assets under management, sees the deal as a cornerstone in its clean energy crusade.

“This is another important step in delivering much-needed cost-effective and sustainable electricity to our domestic power grid at a time when communities need it most,” said Anthony Borreca, senior managing director at Stonepeak.

With power demand spiking amid extreme weather and digital growth, the infusion of large-scale solar projects like Frye and Jicarilla into the U.S. grid is not just prudent — it’s essential.

Deal Team Breakdown and What’s Next

Stonepeak’s legal playbook was quarterbacked by V&E partner Matt Falcone, supported by a bench of deal veterans including David Peck, Lauren Collins, Aaron Prince, Eamon Nolan, and others. The Latham & Watkins team advising Repsol remains under wraps as of press time.

The transaction, pending regulatory approval, is projected to close in Q3 of 2025 — setting the stage for deeper partnerships and higher stakes in America’s renewable frontier.
