In a stunning shake-up that ripples across the global tech and financial landscapes, Qualcomm Inc. announced Monday it will acquire Alphawave IP Group PLC for $2.4 billion, a strategic move that not only accelerates Qualcomm's data center dominance but also delivers another blow to London’s tech credibility.

A Cash Offer That Sends Shockwaves

The all-cash offer, valued at $2.48 per share, represents a 96% premium over Alphawave's closing price of 94 pence on March 31—just before takeover whispers began swirling. Qualcomm, the San Diego-based semiconductor powerhouse, is making the offer through a specially formed subsidiary, Aqua Acquisition Sub LLC.

With shares soaring more than 23% in Monday morning trading to over 149 pence, Alphawave’s investors are now watching the LSE curtain close on a local tech champion. If approved, the deal will de-list Alphawave from London’s main market and re-register the company as private, pulling yet another crown jewel from the embattled exchange.

The Legal and Financial Cast

The high-stakes transaction is being steered by elite legal teams. Paul Weiss Rifkind Wharton & Garrison LLP is advising Qualcomm, with a crew led by partners Kyle T. Seifried, Dan Schuster-Woldan, Matthew Hearn, and Scott A. Barshay. On the Alphawave side, Linklaters LLP is guiding the process, with partners James Wootton, Richard Spedding, and Rupert Cheyne at the helm.

In the financial trenches, Evercore Partners International LLP is advising Qualcomm, while Goldman Sachs International and Barclays Bank PLC are backing Alphawave.

A London Exodus Gathers Speed

This is more than a merger—it's a symbol of London's slipping grip on tech IPOs and global listings. Following Wise PLC’s decision earlier in June to migrate its primary listing to the U.S., Alphawave’s departure raises tough questions for the LSE’s future. Critics now warn of a broader talent and capital flight unless reforms are swiftly enacted.

Qualcomm's move comes amid a broader push to expand its reach into data centers, 5G, and AI infrastructure. "This acquisition supercharges our long-term roadmap in connected computing," said Qualcomm President and CEO Cristiano Amon, who emphasized the alignment of goals between the two companies.

A Strategic Chip for Data’s Future

Founded in London, Alphawave specializes in ultra-fast chip interconnects, making it a coveted player in the booming sectors of artificial intelligence, high-speed networking, and cloud-scale data centers. Qualcomm plans to integrate Alphawave's designs into its expanding portfolio, enhancing the infrastructure that underpins next-gen computing.

Shareholders Face a Fork in the Road

Alphawave shareholders have multiple choices: cash payouts in pounds sterling, new Qualcomm shares, or unlisted exchangeable securities that convert into Qualcomm stock after four years. While Alphawave’s board called the cash offer “fair and reasonable,” it stopped short of endorsing the alternative stock options, citing a lack of valuation clarity.

Still, with 34.5% of Alphawave’s shareholders—directors included—already pledging support, the odds are stacking in Qualcomm’s favor.

The Road Ahead: Regulatory Crossfire

This won’t be a simple handshake and handover. The deal must clear competition and foreign investment reviews in a quartet of jurisdictions: the U.S., Germany, South Korea, and Canada, along with national security clearance in the U.K.

Completion is targeted for March 2026, pending shareholder votes at a general and court meeting, required under the U.K. Companies Act 2006.
