Hecate Energy To Go Public is the bet being placed on America’s accelerating appetite for power, as the utility-scale energy developer agreed to merge with EGH Acquisition Corp. in a business combination that would list the company on Nasdaq under the ticker “HCTE.”

The transaction, approved unanimously by both boards, is expected to close in mid-2026, subject to customary conditions including approval from EGH shareholders. Once completed, the deal would propel Hecate from a private developer into the public markets at a moment when data centers and hyperscalers are driving electricity demand to new highs.

Building “energy parks” for a power-hungry economy

Hecate Energy Group said it develops large-scale “energy parks” spanning solar, battery storage, wind and thermal generation. The platform is being shaped to serve land tied to data centers, hyperscalers and other large-load customers — the industrial engines behind today’s digital economy.

The company said it monetizes projects through asset sales, Build Transfer Agreements and Development Services Agreements, while keeping the option open to evolve into an independent power producer, a shift that could unlock longer-duration operating cash flows.

A portfolio measured in gigawatts

Founded in 2012, Hecate said it has assembled more than 47 gigawatts of renewable and thermal power projects across eight U.S. power markets and 26 states. Since inception, the company has sold more than 12 gigawatts of projects and currently has over four gigawatts under exclusivity or in advanced sale negotiations.

That scale positions the company like a power grid in waiting — already mapped, partially built and ready to plug into rising demand.

Deal terms and leadership continuity

Under the agreement, Hecate carries a pre-money enterprise value of $1.2 billion. EGH’s trust account is expected to contribute up to $155 million to support portfolio development, potential shareholder redemptions and transaction costs.

Hecate’s existing management team is expected to continue leading the combined company, and current Hecate shareholders will roll 100% of their equity into the public entity, preserving alignment as the firm enters its next chapter.

Advisors line up behind the transaction

Cohen & Company Capital Markets is serving as financial advisor and lead capital markets advisor to EGH, with Seaport Global also acting as a capital markets advisor. PEI Global Partners is advising Hecate. Legal counsel includes Cahill Gordon & Reindel for Hecate and Allen Overy Shearman Sterling (US) for EGH.

Executives frame a transformational step

“Our partnership with EGH and its experienced team and the public listing resulting from a successful completion of our combination represent a transformational milestone for Hecate,” said Chris Bullinger, president and CEO of Hecate. He said access to public capital markets would accelerate development and monetization while providing flexibility to evolve into an independent power producer generating long-term, recurring cash flows.

Drew Lipsher, chief executive officer of EGH, said Hecate’s portfolio and execution track record position it well to meet soaring demand from data centers, hyperscalers and other major power consumers. He added that the company is “uniquely positioned to capitalize on this opportunity and deliver meaningful long-term value.”

As Hecate Energy To Go Public, the merger underscores a broader wager: that the race to power the digital economy will reward those who can build, scale and finance energy infrastructure fast enough to keep the lights on.
