Spanish electric utility company Iberdrola announced Friday its plans to acquire an 88% stake in Electricity North West Limited (ENWL), a transaction valuing the British electric power network at roughly 5 billion euros ($5.5 billion), including debt.

Iberdrola has agreed to pay 2.5 billion euros for the stake. This acquisition aligns with Iberdrola’s strategy to invest in electricity networks and in countries with strong credit ratings, significantly enhancing its presence in Britain. The company’s regulated asset base in the U.K. will now be valued at approximately 14 billion euros, surpassing its U.S. holdings at 13.3 billion euros. Together, these markets will represent two-thirds of Iberdrola’s total global regulated asset base.

“This transaction reinforces our commitment to investing significantly in electricity networks, which are a critical component for supporting the electrification and decarbonization of the economy,” said Ignacio Galán, Iberdrola’s executive chair, in a statement. “The agreement is also consistent with our strategy to invest in countries that have ambitious investment plans and stable and predictable regulations.”

Historical Investment in the U.K.

Since its merger with ScottishPower in 2007, Iberdrola has identified the U.K. as a key investment destination, channeling around 36 billion euros into the country. The acquisition of Electricity North West will enable Iberdrola to distribute electricity to nearly 5 million people in northwest England, in cities like Manchester, Lancaster, and Barrow. The deal expands Iberdrola’s reach in the U.K., allowing it to serve around 12 million people through a network extending over 170,000 kilometers.

A consortium of Japanese investors, led by Kansai, will retain a 12% stake in ENW. The group has signed a shareholders agreement with Iberdrola to ensure long-term collaboration. This partnership highlights the strategic international cooperation in the utility sector.
