Ithaca Energy, an independent operator in the oil and gas industry, has announced a major acquisition, agreeing to purchase a substantial portion of Eni of Italy’s U.K. assets for a hefty sum of £754 million ($937 million). This strategic move is aimed at broadening Ithaca’s presence in the North Sea, marking a significant expansion in its operational footprint.

Late on Tuesday, Ithaca Energy revealed that it would acquire all the British energy-production sites of Eni S.p.A., with the exception of assets in the eastern Irish Sea and activities related to carbon capture, storage, and recycling in the U.K. The deal, facilitated through the issuance of new shares by Ithaca Energy LC to Eni UK Ltd., will result in the Italian giant holding a 38.5% stake in Ithaca’s enlarged share capital.

The transaction, set to conclude in the third quarter of 2024, is supported by top financial institutions. Jefferies International serves as Ithaca’s financial adviser, with Goldman Sachs International as its corporate broker. On the other side, Clifford Chance LLP guides Eni, with Morgan Stanley and Lambert providing financial counsel.

Growth and Development Prospects

Gilad Myerson, Ithaca’s executive chair, emphasized that the acquisition would leverage Eni’s technical expertise, significantly strengthening Ithaca’s platform for further growth. “The combination with Eni will further enhance Ithaca’s position as a leading U.K. continental shelf production and growth company, with positions in six of the ten largest assets in the region,” Myerson stated.

The completion of this deal hinges on shareholder approval, with a general meeting to be scheduled. Ithaca’s parent company, Delek Group Ltd., has already expressed support for the acquisition. Financial Performance and Market Impact

The Eni U.K. business reported pre-tax profits of $775 million for the 2023 calendar year. Despite significant fiscal and political challenges in the same period, Ithaca recorded pre-tax profits of £1.7 billion, a slight decrease from the previous year. The company also plans to distribute substantial dividends, projecting payouts of up to $500 million annually in 2024 and 2025.
