Proskauer, Cooley Guide $880M Touchland Acquisition

Church & Dwight Co., Inc., the owner of the Arm & Hammer brand, announced today its agreement to acquire the fast-growing hand sanitizer brand, Touchland, for up to $880 million. The deal, facilitated by Proskauer Rose LLP for Church & Dwight and Cooley LLP for Touchland, will expand Church & Dwight’s portfolio of leading household brands.

The acquisition will include an initial $700 million payment at closing, comprised of cash and restricted stock, with up to an additional $180 million contingent on Touchland’s net sales in 2025. Touchland’s strong growth prospects are reflected in its anticipated double-digit sales growth in both 2025 and 2026.

The deal is expected to close in the second quarter of 2025.

“Touchland is nimble, asset-light, and perfectly aligned with our growth strategy,” said Rick Dierker, CEO of Church & Dwight. “The brand appeals to younger consumers, demonstrating high levels of loyalty and repeat purchases—traits that align with category leaders.”

Touchland, the second-largest hand sanitizer brand in the U.S. and the fastest growing in the category, currently operates in the U.S. and Canada and has recently expanded into the Middle East through Sephora. In the 12 months ending March 31, Touchland generated approximately $130 million in net sales and $55 million in EBITDA.

As part of the transaction, Touchland’s employees and executives, including Lisbona, will remain with the company and continue to operate out of their Miami location.
