In a transatlantic move that reshapes the beverage supply landscape, Refresco to acquire SunOpta marks a bold step in the global drinks and food ingredients arena. The Netherlands-based beverage giant announced Friday it will purchase Minnesota-based SunOpta in an all-cash transaction valuing the U.S.-listed company at $6.50 per share — roughly $768 million.

The deal, steered by a powerhouse roster of at least five law firms and top-tier financial advisers, signals a strategic consolidation in a sector where scale can mean survival.

Boards Approve Unanimously

Both companies’ boards signed off on the transaction without dissent. The acquisition will proceed through a court-sanctioned plan of arrangement under Canada’s Business Corporations Act.

The companies expect the deal to close in the second quarter of 2026, pending regulatory clearance, court approval and shareholder consent, according to the official announcement.

Once finalized, SunOpta — incorporated in Canada — will become a wholly owned subsidiary of Refresco. Its shares will be delisted, ending its run as a publicly traded company.
