The lithium extraction giant, American Battery Materials Inc., demonstrated a rock-solid commitment on Monday, refusing to budge from its $120 million merger trajectory with Seaport Global Acquisition II Corp. This resolute stance comes even in the face of Seaport's alarming delisting warning received from Nasdaq.

A missive from Nasdaq's Listing Qualifications division on September 12 threw a wrench into the works. Seaport, according to an SEC filing, had not met Nasdaq's minimum stockholder threshold.

A Defiant Stand by American Battery

In the backdrop of this uncertainty, David Graber, American Battery Materials' Chairman and Co-CEO, voiced his perspective. He posited that such warning letters for SPACs, especially those extending deal closures, aren't rare occurrences. Drawing attention to Seaport's recent actions, Graber highlighted the SPAC's expected redemptions, including cutting down its shareholder base.

The ball is now in Seaport's court. Nasdaq has granted it a 45-day window to chalk out its plan of action to realign with listing norms.

Asserting a shared vision, Graber remarked, "Together, we're working towards a common goal. With the merger's completion, we anticipate meeting Nasdaq's listing standards. Our unwavering commitment is to our shareholders." But Seaport, shrouded in mystery, refrained from commenting on the merger or the warning.

SPACs: A Window to the Public Arena

For the uninitiated, SPACs, colloquially dubbed 'blank-check companies,' act as conduits. They raise capital through IPOs, aiming to acquire and take a private entity public. Seaport had its moment under the sun in 2021, amassing $125 million in its IPO by offloading 12.5 million units, each pegged at $10.

June witnessed the big reveal: Seaport's merger with American Battery Materials. The anticipated outcome? Taking the Connecticut-based lithium extractor public, valuing it at a staggering $225 million.

The merger's blueprint unveiled a tantalizing offer for American Battery Material's shareholders - equity in Seaport worth $160 million. And as the merger's climax approaches, the united entity envisages rebranding itself as American Battery Materials Holdings, operating under Seaport Global's umbrella.

To encapsulate its essence, American Battery Materials delineates itself as a vanguard in lithium extraction, critical for the impending global energy transition. The company boasts a sprawling expanse in Eastern Utah's Paradox Basin, encompassing 102 federal mining claims.
