Margaritaville Bankruptcy OK’d: Judge Celebrates with Buffett Classic

In a courtroom moment fit for the pages of a novel, a New York bankruptcy judge didn’t just confirm the Chapter 11 restructuring of the Margaritaville resort in Times Square—he set the mood with Jimmy Buffett’s iconic anthem.

U.S. Bankruptcy Judge Philip Bentley, overseeing the case of 560 Seventh Avenue Owner Primary LLC, gave the green light for the debtor to convert its sublicensing agreement into a full-fledged franchise deal with Margaritaville Hotels and Resorts LLC. Then, in a move that underscored the cultural weight of the decision, he hit play on “Margaritaville.”

“I think the moment calls for 60 seconds of musical celebration,” Bentley quipped, as Buffett’s legendary tune drifted through the courtroom. “This is a day that preserves the right of New Yorkers to enjoy a margarita under a fake palm tree in Times Square.”

From Sublicense to Franchise: A Lifeline for the Resort

Under the approved plan, the debtor will jettison its current sublicensing agreement in favor of a franchise model—one that brings deeper brand integration, enhanced technological support, and expanded rights to hold Margaritaville accountable in case of default.

To seal the deal, the debtor will pay Margaritaville nearly $900,000 in back dues under the previous sublicense, categorized as an administrative expense.

Creditors Clear the Path to a New Beginning

OWS CRE Funding I LLC, the resort’s primary secured creditor, backed the arrangement, setting the stage for Friday’s confirmation hearing.

The saga traces back to July 2023, when the debtor’s former parent company filed for bankruptcy protection—just one day before mezzanine lenders were set to auction off the struggling hotel, restaurant, and retail property. The venue, which launched in 2021 during the height of the COVID-19 pandemic, found itself caught in a financial storm from the outset.

“Not surprisingly, the hotel faced very significant financial challenges as a result,” Judge Bentley remarked, also pointing to operational hurdles that compounded its troubles.

Restructuring, Settlements, and a New Future

After months of negotiations, a sale was permitted to proceed in September 2023, with mezzanine lenders—linked to Arden Group and Corten Real Estate—emerging as the sole bidders at an October auction. By December, the lenders had replaced management, ushering in a wave of resolutions to disputes tied to the Chapter 11 case.

One such battle involved the Garment Center Congregation, a Jewish synagogue that alleged the debtor reneged on a promise to construct a new worship space. The matter was settled with a $4 million payment to the congregation.

Other settlements followed, including one with the resort’s former management company and a restructured loan deal with OWS.

Big Numbers, Big Commitments

OWS, owed approximately $149 million, will receive an initial $9 million payout, with the remaining balance—about $140 million—set to be refinanced and extended.

Funding for the case came from mezzanine lenders, who contributed around $24 million in unsecured loans and an additional $19 million to fund plan payments.

Scott Markowitz, attorney for the Garment Center Congregation, expressed satisfaction with the resolution.

“Although the Garment Center Synagogue was expecting to move back in, as was the original deal, under all of these changed circumstances and in view of the costs and uncertainty of extended litigation, the congregation is pleased with the settlement and putting this chapter behind,” he stated.

Legal Teams and the Road Ahead

The debtor was represented by Frederick E. Schmidt Jr. and Christina M. Sanfelippo of Cozen O’Connor. Margaritaville Enterprises LLC had legal counsel from David B. Kurzweil and T. Charlie Liu of Greenberg Traurig LLP. OWS was backed by Gregory M. Petrick, Thomas J. Curtin, and Anthony L. Greene of Cadwalader Wickersham & Taft LLP. The Garment Center Congregation’s legal interests were handled by Scott S. Markowitz and Debra Bodian Bernstein of Tarter Krinsky & Drogin LLP.

While the Margaritaville resort in Times Square has navigated its fair share of stormy seas, Friday’s ruling marks the dawn of a new chapter—one where the brand’s signature escapism and financial pragmatism must now coexist. And if Judge Bentley’s musical sendoff is any indication, a frozen margarita under neon lights may still be part of the dream.
