In a deal poised to reshape the competitive contours of the space race, SES SA is set to acquire rival satellite giant Intelsat SA in a $3.1 billion agreement—an ambitious move that has ignited scrutiny from Britain’s top competition regulator amid a flurry of aerospace consolidation fueled by the likes of Elon Musk and Jeff Bezos.

UK’s CMA Zeroes In on Mega-Satellite Merger

The UK Competition and Markets Authority (CMA) confirmed Friday that it has launched a phase one investigation into the SES-Intelsat merger, warning that the deal could create a “relevant merger situation” that may lead to a substantial lessening of competition in UK markets.

The probe was triggered as the Luxembourg-based SES, one of the world’s leading satellite operators, moves to solidify its position in the rapidly evolving satellite communications arena.

The CMA said it has notified the companies and is now soliciting public comment on the proposed merger, with an April 29 deadline for submissions. The regulator must decide by June 12 whether to escalate to an in-depth phase two investigation.

A Strategic Realignment in the Satellite Skies

SES first announced its intent to acquire Intelsat in April 2024, reviving discussions that had previously collapsed in June 2023. With a deal that’s now back on track, the companies are framing the merger as a strategic imperative—a bid to boost global satellite coverage and counter surging competition from Starlink and Project Kuiper.

The boards of both SES and Intelsat have approved the transaction. More than 73% of Intelsat shareholders have pledged to vote in favor, clearing the minimum 50% threshold required for the deal to proceed.

Despite their united front, regulatory greenlights remain a hurdle. In addition to the CMA, the U.S. Federal Communications Commission (FCC) must also approve the acquisition.

Racing Against Starlink and Kuiper in a Crowded Orbit

SES and Intelsat have made it clear to regulators: this merger isn’t just business—it’s survival. In their submission to the FCC, they highlighted the urgency of consolidation, citing that nearly 700 satellites have been launched since the deal was announced, with hundreds more on the horizon.

The satellite sector has rapidly morphed into a battlefield, with Musk’s Starlink and Bezos’ Project Kuiper launching massive constellations to dominate the skies. The SES-Intelsat deal mirrors other high-stakes moves like Viasat’s $7.3 billion acquisition of Inmarsat, completed in May 2023.

Legal counsel for the transaction reads like a who’s who of global law firms. SES is advised by Gibson Dunn & Crutcher LLP, Arendt & Medernach, Hogan Lovells, and Freshfields LLP. On the Intelsat side, Skadden, Arps, Slate, Meagher & Flom LLP and Elvinger Hoss Prussen are steering the legal ship.

Deal Horizon: 2025
