Nippon Completes Purchase of US Steel

A seismic shift in the global steel industry has been sealed: Nippon Steel has finalized its blockbuster $14.9 billion acquisition of U.S. Steel, combining two industrial titans in a deal laced with economic ambition, geopolitical implications, and a rare national security agreement with the U.S. government.

Announced Wednesday, the closing of the deal cements a $55-per-share purchase of Pittsburgh-headquartered U.S. Steel, originally unveiled in December 2023, with Nippon assuming both equity and debt for full enterprise control.

A Deal Forged in Fire — and Politics

The acquisition, overseen by a flotilla of elite legal and financial firms on both sides, now places Nippon at the helm of one of America’s most iconic manufacturers. But this is no ordinary foreign takeover. The pact comes with $11 billion in planned U.S. investments by 2028, and an unprecedented "golden share" issued to the U.S. government — giving the sitting president veto authority over major corporate decisions.

“This is a momentous day for our country and for American steel,” said U.S. Steel CEO Dave Burritt, thanking President Donald Trump for greenlighting the transaction after reversing his earlier opposition. “With Pittsburgh as our forever home, we move forward stronger than ever.”

Security, Sovereignty, and Steel

The golden share — a single, permanent preferred share — grants the president broad consent rights, effectively blocking foreign control over plant closures, relocations, or strategic shifts. It’s a tool rarely wielded in U.S. corporate governance and underscores rising scrutiny of foreign investment amid national security concerns.

While former President Joe Biden blocked the deal in January, citing credible national security risks, Trump’s June 13 executive order reversed that stance, asserting that the agreement's provisions adequately mitigate those risks.

U.S. Steel will retain its name, its Pittsburgh headquarters, and an all-American management team. The board will remain under U.S. control, with Takahiro Mori of Nippon taking over as board chair.

Union Tensions Simmer Beneath the Surface

Despite the celebratory tone from company executives and federal officials, opposition remains fierce from labor leaders. United Steelworkers (USW) President David McCall released a blistering statement slamming the deal’s implications for job security and executive power.

“Through this transaction, President Trump now holds startling personal power over a corporation,” McCall said. “Our hard-earned benefits and job security are not for sale — and we will fight if they are ever threatened.”

The USW contract with U.S. Steel expires in September 2026, setting the stage for potentially contentious negotiations if the partnership strays from its promises.

The Legal Architects Behind the Steel Curtain

A legion of top legal minds facilitated the transaction:

  • Ropes & Gray LLP led Nippon’s legal counsel, joined by PJT Partners and Akin Gump Strauss Hauer & Feld LLP as strategic advisors, and Citi as financial advisor.

  • U.S. Steel was backed by Milbank LLP, Covington & Burling LLP, and Wachtell, Lipton, Rosen & Katz. Financial advisers included Barclays, Goldman Sachs, and Evercore.

  • Key legal players included Bob Kennedy, Mark Plotkin, Josh Cammaker, and Ariel Deckelbaum, among others.

Forging the Future

Nippon’s Eiji Hashimoto declared the partnership’s aim to become the world’s preeminent steelmaker, with Mori echoing Trump’s mantra of prioritizing "American jobs and national security."

A study commissioned by U.S. Steel claims the partnership will support more than 100,000 U.S. jobs, a figure that could shape the economic and political legacy of the deal in an election-charged climate.

In an industry born in the furnaces of Pittsburgh and reshaped by globalization, the completion of this deal signals both an end and a beginning — one tempered by fierce loyalty, economic ambition, and unprecedented political entanglement.
