In a legal saga straight out of Wall Street intrigue, New York attorney Edward J. Lake has filed a $20 million hostile takeover lawsuit against a group of out-of-state investors, accusing them of illegally seizing his firm, draining millions from its accounts, and sabotaging a pending $18 million financing deal.

The explosive complaint, lodged in New York state court, names Lee Melchionni, Sylvia Benito, and Richard Solit, all tied to Justice Partners LLC, as the main culprits. Lake’s suit claims fraud, racketeering, and unauthorized practice of law, painting a picture of deception and corporate betrayal at the highest levels.

Rival Claims: Ponzi Allegations and Retaliation

The legal firestorm erupted just days after Benito filed her own lawsuit in Suffolk County Supreme Court, alleging that Lake duped her into investing and loaning millions under false pretenses. She accused him of “effectively running a Ponzi scheme.”

“Ms. Benito brought suit to hold Edward Lake and his firm accountable for misusing investors’ funds,” said her attorney, William A. Brewer III of Brewer Attorneys & Counselors. “His new filing is retaliatory and unlikely to withstand scrutiny.”

The dueling lawsuits trace back to a tangled web of mass tort litigation financing gone sour — a high-stakes world where billions hinge on lawsuits and settlements that sometimes never materialize.

History of Investor Disputes

Nearly a year ago, a Florida judge dismissed a similar suit brought by investor Allan Teh against the same parties, claiming he was tricked into investing $4 million in Justice Partners. Teh said his money was used to fund Lake’s ventures in mass tort cases that failed to yield results.

Lake’s new complaint accuses Melchionni, Benito, and Solit — none licensed to practice law in New York — of posing as legitimate attorneys tied to Washington, D.C. firms that actually violated ethical rules. He cites an arbitration finding that one of their firms, KS Law Group, was not a valid law practice under D.C. professional conduct standards.

“It can be reasoned that the twelve law firms mentioned by the arbitrator that were similarly formed by Melchionni are equally improper,” Lake wrote.

Coercion, Duress, and a Power Grab

Lake alleges that the defendants used deceit and coercion to infiltrate his firm, seize payroll control, and take over client communications. “Defendants made repeated threats regarding payroll and employment,” his complaint states, “coercing staff and subjecting them to duress.”

He claims that around March of last year, the group sabotaged his $18 million financing deal, using the resulting crisis to strong-arm control of the firm.

“Defendants bragged about their unfair bargaining position to third parties, claiming, ‘We own Ed Lake,’” he alleges.

Lake says he was forced to sign a predatory agreement stripping him of ownership under duress, as defendants demanded $39 million without legal basis, further deepening the alleged extortion scheme.

Counterclaims and Fallout

Meanwhile, Benito’s complaint paints a mirror image of Lake’s accusations — claiming he convinced her to invest over $15 million in mass tort cases that never came to fruition. She alleges that he misused those funds and later disguised her investments as personal loans.

She further accuses Lake of tricking her into investing $1.5 million in Employee Retention Tax Credits, saying he “appropriated for his own gain” opportunities that belonged to her.

Lake, representing himself, has yet to comment publicly. Benito remains represented by Brewer Attorneys & Counselors, while counsel for the other defendants has not been disclosed.
