The Gold Resource $372M Deal is set to reshape a slice of North America’s mining landscape, as gold and silver producer Gold Resource Corp. agreed to be acquired by Canadian-based Goldgroup Mining Inc. in an all-share transaction valued at about $372 million.

Announced Monday, the agreement links two companies with deep roots in Mexico, combining producing mines and development projects into a single, more diversified mining platform.

Share exchange sets valuation

Under the terms of the deal, Gold Resource shareholders will receive 1.4476 shares of Goldgroup common stock for each Gold Resource share they hold. Based on Goldgroup’s closing share price on Friday, the exchange values Gold Resource at $2.25 per share, the companies said.

Following completion, Gold Resource shareholders are expected to own roughly 40% of the combined company.

Assets span multiple Mexican mines

Goldgroup brings to the transaction two so-called high-growth gold assets in Mexico. Gold Resource, meanwhile, operates as a producer, developer and explorer, with its flagship operations centered on the Don David Gold Mine in Oaxaca.

Once merged, the combined company’s portfolio will include the Don David Gold Mine, the Back Forty Project, the Cerro Prieto Mine and the San Francisco Mine. The companies said the lineup of producing assets offers significant exploration upside and growth potential.

Strategy centers on expansion and diversification

The transaction creates a more diversified mining company with a strategic focus on Mexico, described in the announcement as one of the world’s leading regions for mineral potential and production.

Gold Resource President and CEO Allen Palmiere said the company has already completed a turnaround at the Don David Gold Mine and is now positioned to scale up.

“Having successfully executed a turnaround at the Don David Gold Mine, the company is positioned to expand production through the proposed transaction,” Palmiere said. “The addition of the San Francisco Mine and the Cerro Prieto mine is expected to increase gold exposure and materially enhance cash generation through higher overall output.”

Governance and timing

Under the proposed structure, the combined company’s board of directors will consist of five members — three selected by Goldgroup and two chosen by Gold Resource.

The Gold Resource $372M Deal is expected to close in the second quarter of 2026, subject to customary closing conditions.

Advisors and legal counsel

Davis Graham & Stubbs LLP is serving as U.S. legal counsel to Gold Resource. Cassels Brock & Blackwell LLP is acting as Canadian legal counsel, while Sánchez Mejorada Velasco y Ribé S.C. is advising on Mexican legal matters.

Legal counsel information for Goldgroup was not immediately available, and a company representative did not immediately respond to requests for comment.

As the deal moves toward closing, the merger underscores how scale, geography and asset diversification are increasingly shaping the future of the gold mining industry.
