Organon’s Strategic Exit
According to Organon, approximately 100 employees working on the JADA System will transition to Laborie as part of the deal. Organon had first acquired the technology in June 2021, and now plans to use the net proceeds from the divestment to reduce debt.

Legal Teams Behind the Deal
Laborie’s acquisition was steered by a skilled counsel team. The Simpson Thacher team was led by M&A partners Michael Holick and Keegan Lopez, executive compensation partner Jeannine McSweeney, and healthcare partner Vanessa Burrows.
Meanwhile, the Cooley LLP team included partners Mika Reiner Mayer and Charity Williams. Counsel for Organon has not yet been disclosed.
