Delaware Supreme Court Upholds Elon Musk’s Legal Victory over Tesla’s SolarCity Acquisition

In an important legal victory for Tesla CEO Elon Musk, the Delaware Supreme Court has upheld the trial court’s decision on SolarCity.  

Tesla acquired SolarCity a solar panel company founded by two of Musk's cousins. And fought a lawsuit brought by a group of Tesla shareholders who challenged the fairness of the $2.4 billion deal.

The court's ruling, announced on Tuesday, dismissed arguments from plaintiffs.

According to the Court under Delaware's "business judgment" rule, courts generally defer to corporate boards' decision-making unless there is evidence of conflicts of interest or bad faith. 

However, when a deal involves a controlling shareholder or potential conflicts, the court conducts an "entire fairness" analysis, placing the burden on the corporation to demonstrate fair dealing and fair price.

At the time of the acquisition, Elon Musk owned approximately 22% of Tesla's common stock and served as the chairman of SolarCity's board of directors. 

Despite acknowledging that the negotiation and recommendation process by Tesla's board was imperfect, the judge found the overall acquisition to be "entirely fair." 

Legal Victory for Musk

The Supreme Court justices concurred, stating that the extensive trial record supported the trial court's decision.

While the court recognized errors in the fair price analysis, it agreed with the trial court's determination that the acquisition was fair based on the evidence and credibility determinations.

The court also noted that the fair price case was overwhelmingly in favor of the acquisition. 

Justice Karen Valihura, who authored the court's opinion, emphasized the extensive expert testimony and evidence reviewed by the trial court.

The shareholders' arguments focused on the failure to establish an independent committee to negotiate the deal and the alleged flawed analysis of the deal price. They contended that shareholders who approved the deal were not adequately informed. 

However, the court found that the overall deal process was the result of fair dealing and rejected the claim that the acquisition was a last-minute bailout to rescue SolarCity from bankruptcy.

This ruling follows a previous settlement reached by other directors on Tesla's board, who agreed to pay $60 million without admitting fault.

 Musk refused to settle. And chose to defend the lawsuit in court. 

The Chancery Court's decision last year culminated in a heated court appearance where Musk vehemently defended the deal and clashed with the plaintiffs' attorneys.

 Musk's win in the SolarCity acquisition lawsuit underscores the Delaware Supreme Court's endorsement of the fairness of the deal. The ruling reaffirms the billionaire’s strategic vision for the company's future.

The Walrus

In a separate unrelated development, Elon Musk recently engaged in a playful exchange with Mark Zuckerberg the founder and CEO of Meta and Instagram.

The two had an extended conversation on Twitter and Instagram.

 The tech billionaires seemingly agreed to a tongue-in-cheek "cage match" face-off, which sparked considerable attention on social media.  He then joked about his superior fighting skills and workout routines.

“I have this great move that I call ‘The Walrus’, where I just lie on top of my opponent and do nothing,” Musk added.
