In a strategic move likened to arming itself with twin nuclear cores for a digital energy revolution, Talen Energy Corp. has announced a $3.5 billion acquisition of two high-powered assets: the Moxie Freedom Energy Center in Pennsylvania and the Guernsey Power Station in Ohio. These twin pillars of natural gas generation, Talen says, will be the backbone of its next-gen low-carbon energy empire.

According to Talen’s Thursday statement, the deal’s gross value reaches $3.8 billion once tax advantages are included. The transaction is expected to close in Q4 of 2025, pending standard regulatory approvals.

Financing the Future: A High-Stakes Bet on Clean, Consistent Power

To fund the mega-acquisition, Talen plans to issue $3.8 billion in new debt, which includes refinancing targeted liabilities. This bold financial strategy signals Talen's long-term confidence in data center energy demand and scalable clean power infrastructure.

As part of the transaction, Talen will also take over equity interests in the Guernsey plant previously held by Global Infrastructure Partners, a BlackRock-managed mid-market infrastructure fund.

The Engines: Two Combined-Cycle Power Titans

The newly acquired assets are combined-cycle gas-fired power plants, tightly woven into the PJM Interconnection—a key regional transmission organization serving the Eastern U.S. These plants promise enhanced grid reliability, scalability, and flexibility, positioning Talen to become a leading supplier to hyperscale data centers and 24/7 commercial off-takers.

"With greater operational flexibility, proximity to key load pockets, and a proven track record in bilateral contracting, we’re poised to meet the evolving needs of high-growth sectors," Talen said in its announcement.

The transaction is supported by a formidable legal and financial brain trust. Talen is legally advised by White & Case LLP and Kirkland & Ellis LLP, with financial backing and strategy from RBC Capital Markets and Citi.

Caithness Energy, the seller of Moxie Freedom, is advised by Paul Hastings LLP, while Simpson Thacher & Bartlett LLP counsels Global Infrastructure Partners. Cahill Gordon & Reindel LLP also contributed legal support.

Strategic Praise and Silent Stakeholders

Executives from both Talen and Caithness lauded the deal as transformative. While BlackRock, a partial stakeholder in Guernsey, chose not to comment, their presence underlines the scale and financial gravitas behind the transaction.

Adding to the energy buzz, BlackRock earlier this week revealed a $25 billion investment—through Blackstone Infrastructure and Real Estate-managed funds—into Pennsylvania data centers and supporting infrastructure. The timing hints at broader coordination and synergy between power supply and digital infrastructure development.
