Educational technology firm Anthology Inc. has filed for Chapter 11 bankruptcy protection in a Texas court, weighed down by more than $1 billion in debt. The move, announced late Monday, positions the company for a sweeping recapitalization strategy as it seeks to reset its financial foundation and reemerge debt-free.

A Balance Sheet Reset

In its declaration, Anthology revealed it holds between $1 billion and $10 billion in both assets and liabilities. The filing outlines plans to fortify the company’s balance sheet through a stand-alone recapitalization, which would wipe away debt and provide a fresh slate for its education software business.

“With the strong support of our investors, a recapitalized teaching and learning platform is well positioned to invest in new capabilities, drive greater efficiency, and help our customers stay focused on what matters most: delivering exceptional outcomes for students,” said CEO Bruce Dahlgren in a statement Tuesday.

Strategic Business Sales

As part of its restructuring blueprint, Anthology has also reached purchase agreements to sell three of its business lines, streamlining its portfolio in order to sharpen its focus on core teaching and learning platforms.

Anthology is leaning on heavyweight legal representation for the restructuring. The debtor is advised by Chad J. Husnick, Melissa Mertz, and Charles B. Sterrett of Kirkland & Ellis LLP, along with Charles A. Beckham Jr., Arsalan Muhammad, Kourtney Lyda, Re’Necia Sherald, and Charles M. Jones II of Haynes Boone.
