In a legal saga reminiscent of a high-stakes poker game, a lawsuit involving a Texas-based cannabis firm, RefineX LLC, has reached a dramatic conclusion in the Colorado federal court. The legal battle revolved around allegations that a contractual agreement was breached, equipment mysteriously vanished, and confidential information was exposed.

Cannabis Firm Suit Over THC Deal : Settlement Unveiled

RefineX LLC, a prominent player in the cannabis industry, announced a groundbreaking settlement on Tuesday. The lawsuit, which had kept the industry on edge, was settled after RefineX accused three companies and two individuals of violating an exclusive contract. The deal pertained to the installation and operation of equipment for producing THC-free distillate.

Contractual Disarray

The lawsuit initially erupted from RefineX's claims that TG Tech Holdings LLC, the equipment provider, failed to meet the detection levels outlined in their October 2019 agreement. Furthermore, TG Tech Holdings LLC was unable to fulfill a minimum monthly production quota of 30,000 liters. In an unexpected twist, RefineX also asserted that Total Grow Holdings LLC and Thompson Global Partners LLC, among others, began removing equipment from RefineX's premises without proper authorization. Total Grow and Thompson Global allegedly inked a distillate agreement with another firm, Lakes Hemp LLC, which allegedly infringed upon RefineX's rights.

RefineX, determined to uncover the truth, argued that TG Tech breached a nondisclosure agreement by sharing confidential information with third parties. TG Tech Holdings LLC staunchly denied all allegations in their response filed in late April.

Key Players in the Settlement

The settlement involves three companies and two individuals - TG Tech Holdings LLC, Total Grow Holdings LLC, Thompson Global Partners LLC, Mark Thompson, and Derek Oxford. Thompson and Oxford faced accusations of instigating the removal of equipment from RefineX's premises, along with Total Grow and Thompson Global.

Heavy Losses and Legal Wrangling

RefineX, not one to back down, claimed damages worth a staggering $1.2 million in ruined raw distillate oil, $285,000 in ruined "crude oil," and an additional $1 million in raw materials that are now deemed worthless. This case, rife with legal complexities, also saw RefineX seeking $1.3 million in out-of-pocket damages and lost profits estimated at $72 million.

Cross-State Legal Web

This lawsuit's journey began in the Central District of California, but a twist of fate led to its relocation to Colorado. A transfer stipulation, signed by an attorney for RefineX, revealed that the case was based on the "same underlying set of facts" as Northeast Botanicals LLC v. RefineX LLC et al., filed in the U.S. District Court for the District of Colorado in October 2021.
