The dialogue between Schneider Electric and Bentley Systems, reported to be in the nascent stages, centers around a potential acquisition. With Bentley Systems boasting a market valuation of approximately $15.6 billion, the stakes are notably high. Schneider Electric, in a disclosure to the Euronext Paris stock exchange, stated, "Discussions remain at a preliminary stage regarding a potential transaction, and there is no certainty that any transaction will be agreed upon."

This announcement followed a Reuters report on Thursday that described Bentley, located in Exton, Pennsylvania, as exploring various strategic options including a potential sale. The Bentley family, holding the majority of the voting shares, has set up a special committee to assess potential offers, signaling serious consideration of strategic alternatives.

Schneider Electric, valued at over €120 billion ($128 billion), continues to refine its portfolio, maintaining a keen focus on strategic fit. This focus was underlined in February when the company noted its ongoing portfolio review process. Recent strategic maneuvers include the January acquisition of the remaining stakes in ETAP, a key player in energy management software, and the November purchase of climate consultancy EcoAct from Atos Group. Both acquisitions were part of Schneider's broader strategy to bolster its digital automation and software capabilities, crucial for enhancing energy efficiency across various sectors.

Following the news, Bentley's shares on the Nasdaq Global Select Market closed at $50.11. In contrast, Schneider Electric's shares experienced a slight dip, trading at €210.50 in Paris, marking a 2.25% decrease from the previous day. The potential acquisition discussions come on the back of Schneider’s successful buyout of Aveva Group PLC last September, valued at £9.5 billion ($11.8 billion), reinforcing its strategy of expanding its software and digital services.
