The U.S. Securities and Exchange Commission (SEC) had accused him of orchestrating a fraudulent scheme, purportedly utilizing fabricated expense reports to bankroll an opulent lifestyle. However, the panel's decision ignited waves of perplexity and debate, asserting that the defendant had no means to discern the ultimate bearers of these expenses.

Circuit Judges Richard Sullivan and John M. Walker Jr. elucidated in their ruling that individuals like Mohammed Ali Rashid, embroiled in the Apollo fray, bore no responsibility in determining the final payer for the business expenses entered into the Apollo computer system. Despite Rashid's recurrent submission of expense reports laden with personal indulgences, the majority contended that unearthing the convoluted billing intricacies demanded an arduous, independent investigation beyond Rashid's purview.

Such an arrangement, the majority emphasized, remained beyond the sphere of reasonable foreseeability, a pivotal criterion in assessing claims under the Investment Advisers Act.

Judge Walker articulated for the majority, accentuating that any alternative inference would unjustly impose an onerous duty of care on Rashid, verging on the precipice of strict liability. "A fiduciary's duties under the Investment Advisers Act are demanding, but they are not boundless," he asserted emphatically.

However, Circuit Judge Amalya Kearse dissented vehemently, rebutting the majority's leniency towards Rashid's purported ignorance. "Rashid deliberately sought to defraud someone into paying for his personal expenses," Judge Kearse contended, underscoring Rashid's proactive efforts in camouflaging these expenses under false pretenses.

Echoes of Acquittal

In a triumphant response to the verdict, Rashid's attorney Faith Gay lauded the Second Circuit for its meticulous scrutiny of the legal intricacies, reiterating that no fraud had transpired upon any client or prospective client under Rashid's purview.

Meanwhile, the SEC remained conspicuously silent, withholding any immediate commentary on the controversial ruling.

Unveiling the Machinations

Rashid's transgressions came to light through a series of exorbitant expense reports, purportedly detailing business meetings that were, in reality, extravagant personal excursions. These included jaunts to Montreal for a friend's bachelor party, a lavish Super Bowl sojourn to New Orleans, and extravagant dinners and gifts, masquerading as executive liaisons with portfolio companies, as per the SEC's allegations.

A Tumultuous Legal Saga

Rashid's legal saga unfurled further as details emerged of his separation agreement with Apollo in 2014, which mandated a substantial restitution of $325,000 for the fraudulent reports, as decreed in Wednesday's order.

Despite Rashid's earnest testimony during a 2020 bench trial in Manhattan, asserting his belief that Apollo-affiliated entities would bear the brunt of these expenses, U.S. District Judge Kevin Castel remained unconvinced, branding Rashid as "recklessly indifferent" to the implications of his actions.
