Avon $43M DIP Acceptance Amid Chapter 11 Bankruptcy

A Delaware bankruptcy judge granted interim approval Wednesday for Avon Products Inc. to access part of a $43 million debtor-in-possession (DIP) financing package as the cosmetics giant navigates its Chapter 11 bankruptcy proceedings. The approval, issued by U.S. Bankruptcy Judge Craig T. Goldblatt, allows Avon to draw $12 million immediately to fund its ongoing operations and bankruptcy case.
Avon $43M DIP Acceptance : Interim Approval for DIP Financing
The interim approval is a crucial step for Avon as it attempts to stabilize during bankruptcy and complete the sale of its non-U.S. operations to its Brazilian parent company, Natura. The company also faces hundreds of lawsuits related to legacy talc liabilities, which have significantly impacted its financial stability.
"I'm satisfied that the relief sought is appropriate," Judge Goldblatt said during the hearing, signaling his agreement with Avon's need for immediate financing to support its restructuring efforts.
Background and Financial Struggles
Founded in 1886, Avon gained widespread recognition for its door-to-door sales model, employing nearly 2 million sales representatives worldwide. However, the company has faced increasing legal challenges due to allegations that its former U.S. business sold talc-based products containing cancer-causing asbestos.
These legal challenges were highlighted by a $24 million jury award in July to the family of a former janitor who worked at an Avon facility in Illinois in the 1980s. The jury found Avon negligently exposed the worker to asbestos-contaminated talc, leading to his development of mesothelioma.
Avon ceased selling products in the U.S. after selling its North American business in 2016 and was acquired by Natura in 2020. Despite this, Avon Products Inc. (API) continues to face lawsuits over products sold before 2016, with around 386 talc-related cases pending at the time of its bankruptcy filing.
Avon $43M DIP Acceptance : Talc Claimants and Legal Representation
During Wednesday's hearing, Todd E. Phillips of Caplin & Drysdale, representing talc claimants, argued for the appointment of an official committee to represent the interests of those affected by Avon's alleged asbestos-tainted products. Phillips criticized Avon for what he termed a "grotesque minimization of harm" caused by the talc products.
The U.S. Trustee's Office indicated it would consider the formation of a talc claimants committee in the coming weeks, a decision that could influence the outcome of the bankruptcy proceedings.
Next Steps in Bankruptcy Proceedings
Avon filed for Chapter 11 bankruptcy on Monday, burdened by approximately $1.3 billion in debt, including $800 million in secured debt. The company has also secured a $125 million stalking horse bid from Natura as part of its restructuring plan.
